A further discusssion was had with reference to the PIONEER GARDENS purchase of the Pioneer Gardens Water System. Reports were WATER SYSTEM made on numerous conferences which had been had by President Brooks and the representatives of the District with Mr. McGlothlen. A letter from Mr. McGlothlen, dated July 9, 1954,'which'the Board had previously requested, was discussed extensively. Mr. McGlothlen was contacted and an appointment was made with him for 9 o'clock the next morning, at which time President Brooks, Engineer Rowe and Attorney Wilson would further confer with him in order to arrive at a better under- standing of the assets of the company and a final price for its purchase by the District. Dana Brooks, President EAST SAN BERNARDINO COUNTY WATER DISTRICT BOARD OF DIRECTORS - ADJOURNED REGULAR JULY 16, 1954 MEETING HELD JULY 16,.1954 — The Board of Directors met at 7:80 o'clock P.M., July 16, 1954 at the regular meeting place. ROLL.CALL: Directors present: Botts, Brooks, Geller, Littleton, Wall. MINUTES Minutes of the last meeting were read and approved. PIONEER GARDENS The President reported on the negotiations carried on WATER COMPANY by him with Mr. McGlothlen, in association with Engineer Rowe and Attorney Wilson. Most of the meetings were attended by Director Littleton and some by Director Botts. As a result, a price of $675,000 with certain qualifications was agreed upon to be submitted to this Board. The Board.read and studied the first draft of the pro - PROPOSED posed contract for the purchase of the Pioneer Gardens Water CONTRACT Company system prepared.by Attorney Wilson. The foregoing con - tract was reviewed and corrected. EADIE WATER Attorney Wilson also reported that he and Engineer SY17 M Rowe had arrived at a price of $28,600 for the East San Ber- PROPOSM nardino Water Company or Eadie water system. The Board read CONTRACT and studied the first draft of the proposed contract for the purchase of the Eadie Water system. The foregoing contract was reviewed and corrected. It was ordered that Attorney Wilson prepare second drafts of the above contracts, as corrected and revised, and mail them to the two companies for consideration. APPLICATIONS The Board conferred with James H. Paulin, Jr., presently FOR MANAGER employed by the City of San Bernardino water system, who has OF THE DISTRICT presented anapplication for the position of manager. With the aid of its engineers, the Board determined ELECTION that a -bond issue is needed for the following amounts: Purchase Prices of Existing Systems Pioneer hardens Water Company . . . . . . $ 675,000.00 East San Bernardino Water - Company -. 28,500.00 Costs of Improvements and Growth -- - Needed improvements to date . . . . . . . . . 250,000.00 Reserve for growth . . . . . . . . . . . 261,500.00 Incidental Expenses Engineering, legal, elections, etc. . . . . . 35,000.00 TOTAL . . $1,250,000.00 NOW THEREFORE, on motion of Director Littleton, duly seconded by Director Wall, the following resolution is adopted and order made: RESOLUTION NO. 6 CALLING OF CALLING A SPECIAL ELECTION IN THE EAST SAN BERNARDINO COUNTY BOND ELECTION WATER DISTRICT FOR THE PURPOSE OF SUBMITTING TO THE QUALIFIED VOTERS C' THE DISTRICT THE PROPOSITION OF ISSUING REVENUE BONDS UNDER THE REVENUE BOND LAW OF 1941 TO PROVIDE FUNDS FOR THE ACQUISITION, CONSTRUCTION, IMPROVING AND FINANCING OF A CERTAIN ESTIMATED COST OF THE- ENTERPRISE, THE PRINCIPAL AMOUNT OF THE BONDS AND THE MAXIMUM RATE OF INTEREST TO BE PAID THEREON; AND PROVIDING FOR NOTICE THEREOF. WATER PROJECT 1954 RESOLVED, by the Board of Directors of the East San Ber- nardino County Water District, San Bernardino County, California, as follows- 1. A special District Election is hereby called and ordered and will be held in the East San Bernardino County Water District on Tuesday, the 31st day of August, 1954, at which elec- tion shall be submitted to the qualified voters the proposition of issuing revenue bonds pursuant to the Revenue Bond Law of 1941 of the State of California, for the purpose of providing funds for the objects and purposes set forth in the following proposition, to wit: PROPOSITION Shall the East San Bernardino County Water Dis- trict issue revenue bonds in the principal amount of $1,250,000.00, for the acquisition, construction, improving and financing of an enterprise, in- cluding,any or all expenses incidental thereto or connected therewith, said enterprise to consist of a system, plant, works and undertaking useful in obtaining, treating and dis- posing of water for public and private uses, including all parts of the enterprise, all appurtenances thereto, and lands, easements, rights in land, water rights, contract rights, franchises, water mains, pumping stations, water supply, storage and distribution facilities and equipment, pursuant to the Revenue Bond Law of 1941? 2. The estimated cost of the acquisition, construction, improving and financing of the enterprise, and the expenses incidental thereto, as set forth in the proposition, is the sum of $1,250,000.00. The principal amount of the bonds to be issued there- for is $1,250,000.00 and the rate of interest to be paid on the bonds shall not exceed six per cent (6%) per annum, payable semi- annually. 11° 4. The Board of Directors does hereby submit to the CALLING OF qualified voters of the District, at the special District Elec- BOND ELECTION tion, this resolution and the proposition set forth in Section contd. 1 hereof. The'Board of Directors proposes to issue and sell revenue bonds of the District in the amount and for the objects and purposes specified in the proposition if a majority of all the voters voting on the proposition vote in favor thereof. JULY 16, 1954 5. The bonds, including the interest thereon, shall be a special obligation of the District, payable exclusively from and secured by the revenue of the enterprise and by such other funds as may be pledged in the resolution providing for the issuance of bonds, and shall not be secured by the taxing power of the District, and the District and its officers shall not be under any obligation to pay same excepting from said revenues. 6. All of the bonds of this series are equally and ratably secured without priority by reason of number, sale, execution or delivery, by a lien upon the revenues herein pledged to the payment thereof ... 7. The said special District Election shall be held and conducted, the votes thereof canvassed, the returns thereof made, and result thereof ascertained and determined as herein provided; and in all other particulars not prescribed by this resolution the election shall be held and the votes canvassed pursuant to law for general elections in the District. 8. For the purpose of holding and conducting said spe- cial District Bond Election, five election precincts are hereby established consisting of consolidations of State and County precincts as last established by the Board of Supervisors of the County of San Bernardino for the conduct of State and County elections. All persons qualified to vote at a general District election in said District upon the day of the election provided for herein shall be qualified to vote upon the proposition sub- mitted at said District election. 10. Ballots for the election shall be provided of the form and to the number provided by law. On the ballots, in addi- tion to any other printed matter which may be required by law, two voting squares shall be set off to the right of the proposi- tion submitted at the election and set forth in Section 1 of this Resolution,'one having the word "YES" printed before it and the other having the word "NO" printed before it. 11. Each voter to vote for the proposition and for the issuance of the bonds shall stamp a cross (X) -in blank space opposite the word "YES" on the ballot to the right of the pro- position, and to vote against the proposition and against the issuance of the bonds, shall stamp a cross (%) in the blank space opposite the word "NO" on the ballot to the right of the propo- sition. 12. The polls shall be opened at 7:00 o'clock A.M. of the day of the election and shall be kept open until 7 :00 o'clock P.M. of the same day, when the polls shall be closed, except as to voters in line as provided in Section 5734 of the Elections Code. 13. Notice of such election shall be given by the Secre- tary of said Board of Directors by posting copies of this resolu- tion in three public places in the District for at least two (2) weeks, there being no newspaper of general circulation published in the District.
