Hanauer and Company, five representatives of the Citizefit Water Committee, and the Secretary RESOLUTION NO. 74 Upon motion by Director Wall, duly seconded by Director Littleton, PROVIDING FOR and carried unanimously by roll call vote, Resolution No. 74, en- ISSUANCE OF titled 'A RESOLUTION PROVIDING FOR THE ISSUANCE OF BONDS OF THE 750,000.00 WATER EAST SAN BERNARDINO COUNTY WATER DISTRICT, SAN BERNARDINO COUNTY, BONDS STATE OF CALIFORNIA, IN THE AMOUNT OF $750,000 FOR THE CONSTRUCTION, PURCHASE OR OTHERWISE ACQUIRING OF WATER SUPPLY, STORAGE AND TRANS- MISSION FACILITIES, MAINS AND APPURTENANCES, AND LANDS AND EASEMENTS NECESSARY THEREFOR FOR THE BENEFIT OF SAID DISTRICT IN ACCORDAM E WITH AND AS AUTHORIZED AT AN ELECTION HELD IN SAID DISTRICT ON NOVEMBER 27, 1956," was adopted.. Said resolution read as follows: RESOLVED, by the Board of Directors of the East San Bernardino County Water District, San Bernardino County, California, that WHEREAS, an election was held on November 27, 1956, in said District in accordance with the provisions of an order of this Board callirg said election, providing for and giving notice there- of, reference to which order being hereby made for further parti- culars; and WHEREAS, said Board found and determined by a canvass of the returns of said election, made December 3, 1956, and entered upon the minutes of said Board, that at said election the incurring of a bonded indebtedness of said District in the amount of $750,000 was authorized by an affirmative vote of more than two - thirds of all of the voters voting thereat, for the construction, purchase or otherwise acquiring of water supply, storage and transmission facilities, mains and appurtenances, and lands and easements neces- sary therefor, and work and improvements auxiliary thereto neces- sary to complete same for the benefit of said District and of its inhabitants; NOW, THEREFORE, IT IS HEREBi DETERMINED and ORDERED, as follows: 1. Bonds of the East San Bernardino County Water District, San Bernardino County, State of California, will be issued in ac- cordance with Chapter 2 of Part 6 of Division 12 of the Water Code of the State of California, and the results of the special election held in said District on November 27, 1956, and the resolutions and orders of this Board, to the amount of $750,000 for the pur- poses stated in the proposition submitted by said Board. 2. Said bonds will be called 'East San Bernardino County Water District - Water.Bonds of 1957', shall be Seven Hundred Fifty 750) in number, shall be numbered consecutively from 1 to 750, in- clusive, shall be payablein numerical order consecutively commen- cing with-the lowest number, shall each be of the denomination of 1,000 and shall be numbered inclusively and have the maturity dates as follows: 5,000 in the year 1959; 10,000 in each of the years 15,000 in each of the years 0 20,000 in each of the years 25,000 in each of the years 30,000 in each of the years 0 35,000 in each of the years 40,000 in the year 1985. 1960_and 1961; 1962 and 1963; 1964 and 1965; 1966 to 1969; 1970 and 1971; 1972 to 1984; inclusive, and January 3, 1957 3. Said bonds shall be of the form and character known as Serial," be dated February 15, 1957, bear interest at the rate of not to exceed six per cent (6%) per annum, payable by coupons on August 15, 1957, and semi- annually thereafter on the 15th days of August and February of each year following their date; and the principal and interest thereof shall be payable in lawful money of the United States at the office of the District depositary, The American National Bank of San Bernardino, San Bernardino, San Bernardino County; California. 4. Said bonds shall be signed by the President of the District and countersigned and attested by its Secretary, who r.I shall affix the corporate seal to each of said bonds, and such signing and sealing shall constitute and be a sufficient and bind- ing execution of each of said bonds by said District. Said Pres- ident and 'Secretary shall sign each of the respective coupons at- tached to each of the said respective bonds, as said President and Secretary, and for such purpose, each of them may use a fac- simile of his signature and have the same printed, engraved or lithographed upon said coupons in lieu of signature by hand, and such signing of said coupons by said President and Secretary, either by hand or by the use of such printed, engraved or litho - graphed facsimile, shall constitute and be a sufficient and bind- ing execution of each of said coupons by said District. 5. Each of said bonds shall be substantially in the follow- ing form, to -wit: UNITED STATES OF AMERICA STATE OF CALIFORNIA COUNTY OF SAN BERNARDINO BOND NO. $1,000.00 EAST SAN BERNARDINO COUNTY WATER DISTRICT WATER BOND OF 1957 On the 15th day of February, 19 , the East San Bernar- dino County Water District, a duly organized County Water District under the laws of the State of California, for value received, hereby promises to pay to the bearer, at the office of the District depositary, in the City of San Bernardino, County of San Bernardino, State of California, the sum of One Thousand Dollars ($1,000.00) in lawful money of the United States of America, together with inter- est thereon from the date hereof at the rate of per cent per annum, said interest to be payable August 15, 1957, and semi- annually thereafter on the 15th days of August and February of each year following the date hereof, upon the presentation and surrender of the proper interest coupons attached. This bond is one of a series of bonds designated Water Bonds of 1957, aggregating Seven Hundred Fifty Thousand Dollars ($750,000) in principal amount, all of like tenor (except for such variations, if any, as may be required to designate varying dates, numbers, maturities, or interest rates), issued by the East San B ernardino County Water District fc the following purposes, to -wit: The construction, purchase or otherwise acquir- ing of water supply, storage and transmission facilities, mains and appurtenances, and lands and easements neces- sary therefor, and work and improvements auxiliary thereto necessary to complete same, for the benefit of said District and of its inhabitants. This bond is issued under and in pursuance of, and in con- formity with Chapter 2 of Part 6 of Division 12 of the Water Code of the State of California, and it is hereby certified, asserted and declared, that this bond is issued in pursuance of, and in con- formity with, the Constitution and laws of the State of California and with the resolutions and orders of the Board of Directors of the said East San Bernardino County Water District and in pursuance of, and in conformity with, a vote of more than two - thirds of all January 3, 1957 qualified electors of the said Water District, voting at a special election duly and regularly called and held in said District, as provided in said act, on the 27th day of November, 1956, notice thereof having been duly and regularly given in the manner and for the period required by law, and that the result of said election has been canvassed and declared and entered in the manner and as required by law. It is further certified and declared that all the provisions and requirements of the Constitution and laws of the State of California and the resolutions and orders of the Board of Directors of said East San Bernardino County Water District have been duly and regularly and fully complied with by the proper officers of said District in the issuance of this bond; that all acts and things and conditions required by law to be done precendentto, and in the issuance of, this bond have been done and have been per- formed in regular and due form, and in strict accordance with the provisions of the law authorizing this bond, and that the total indebtedness of said Water District, including the total indebted- ness evidenced by this issue of bonds, does not exceed the limits prescribed by the Constitution and the laws of the State of California. IN WITNESS WHEREOF, the said East San Bernardino County Water District has caused this bond to be signed by the President of its Board of Directors and to be countersigned and attested by its Secretary, and has caused its Secretary to affix thereto the seal of said East San Bernardino County Water District, all on the 15th day of February, 1957. The interest coupons attached to each of said bonds and evidencing the interest to accrue thereon shall be numbered con- secutively and be substantially in the following form, to -wit: Coupon No. East San Bernardino County Water District, San Bernardino County, California, will pay to the bearer hereof, on the 15th day of , 19 1 , S at the office of the District depositary, San ernardino, San Bernardino County, California, said sum being the semi- annual interest due on its Bond No. of its issue of Water Bonds of 1957. If, from any cause, the revenues of the Water District shall be, or in the judgment of the Board of Directors thereof are likely to be, inadequate to pay the interest on, or the principal of, the indebtedness represented by said bonds, as it or they be- come due, the Board of Directors of said District will and shall, at least fifteen days before the 1st day of the month in any year in which the Board of Supervisors of the County of San Bernardino, in which such District is located, is required by law to levy the amount of taxes required for County purposes, furnish said Board of Supervisors and the Auditor of said County, respectively b an esti-mate in writing of,the amount of money required by said istrict for the payment of the principal of, and interest on, said bonded indebtedness as it becomes due, and of such amount as in the judg- 100 January 3, 1957 ment of the said Board of Directors will be required by such District for the payment of such principal and interest as afore - said, during the ensuing year, and said District will further re- quest the Board of Supervisors of said County annually, at the time and in the manner of levying other County taxes,. and until such bonded debt is fully paid, to levy upon all of the property within the said District, all such property being that benefited, and the whole of said Water District being so benefited, by the purpose for which the said indebtedness was incurred, and cause to be collected a tax sufficient for the payment of the principal and interest on such bonded indebtedness, the same to be known as the East San Bernardino County Water District Bond Tax.' Said Board of Directors will further cause said Board of Supervisors to levy such Water District tax, and further will cause the same to be collected. *.0 Said Board of Directors does hereby further make provision for the doing of all things necessary for the levy and collection of such taxes and for the levy and collection of all sums that shall or may be necessary to pay in full all of the principal and inter- est of said bonded indebtedness, the issuance of which is directed by this resolution when and as the same shall fall due, and further contracts and agrees, represents and promises that levy shall be made as aforesaid in case said bonds shall be issued as aforesaid, and so far as said Board of Directors has power now to do, it here- by makes provision for the same. The taxes herein required to be levied and collected shall be in addition to all other taxes levied for district purposes, and shall be collected at the time and in the same manner as other district taxes are collected, and be used for no other purpose than the payment of said bonds and accruing interest. 8. There shall be, and there is hereby provided, an interest and redemption fund to be kept by the Auditor of said District, and be designated as the 'East San Bernardino County Water District, Water Bonds of 1957 Interest and Redemption Fund,' and the proceeds of the levy above- mentioned shall be paid into the said interest and redemption fund as soon as the same shall have been collected and shall remain therein until required for the respective payments of principal and interest to be made on said bonds, and when the re -. spective payments of principal and interest on said bonds shall fall due, the Auditor or other disbursing officer or officers of said District shall, and he and they are hereby, authorized, directed and commanded to pay out of the moneys in said interest and redemption fund or from any other available funds, if there be not sufficient moneys in said interest and redemption fund, the respec- tive amounts of such principal and interest so due, when demand therefor shall be made as required by law, and upon surrender of the corresponding bonds and coupons the duty of such auditor and other disbursing officials shall be to cancel the same immediately after their payments. None of the moneys paid into said interest and redemption fund shall be used for any other purpose than the payment of theprincipal of such bonded indebtedness and interest thereon until all amounts thereof shall have been fully paid; each and every one of the conditions and provisions stated in and provided in relation to said bonds by said resolution calling said election, and by this resolution, shall be fully complied with. RESOLUTION NO. 75 Upon motion by Director Botts, duly seconded by Director Taylor, CALLING FOR BIDS ON and carried unanimously by roll call vote, Resolution No. 75, WATER BONDS OF 1957 entitled 'A RESOLUTION CALLING FOR BIDS ON EAST SAN BERNARDINO COUNTY WATER DISTRICT WATER BONDS OF 1957,' was adopted. Said resolution reads as follows: RESOLVED, by the Board of Directors of the East San Ber- nardino County Water District, San Bernardino County, California, as follows: 1. Bids shall be called by the Secretary of said District for the sale of $750,000 East San Bernardino County Water District Bonds of 1957, authorized to be issued at an election called and held on November 27, 1956, in said District, and provided to be issued pursuant to Resolution No. 74 adopted by said Board of January 3, 1957, MWL..j 101 January 3, 1957 2. Notice thereof shall be given by the Secretary by mailing copies of an "Official Notice of Sale', to various banks and bond houses and other persons interested as determined by the District Secretary, at least ten days before the date said bids are to be opened. 3. The Board will furnish the legal opinion of the law firm of Kirkbride, Wilson, Harzfeld & Wallace, San Mateo, Californ- ia, unqualifiedly approving the legality of the proceedings and the issuance of said bonds. OFFICIAL NOTICE The following is the Official Notice of Sale adopted by the Secretary OF SALE to be included in the official statement that is to be mailed to various banks and bond houses and other persons interested, to -wit: OFFICIAL NOTICE OF SALE - EAST SAN BERNARDINO COUNTY WATER DISTRICT WATER BONDS OF 1957 NOTICE IS HEREBY GIVEN that sealed proposals or bids may be filed with the Secretary of the East San Bernardino County Wa- ter District on JANUARY 28, 1957 on or before 2:00 o'clock P.M. (Pacific Standard Time) for the purchase of general obligation bonds of said District, at which time said sealed proposals or bids will be publicly opened, exam- ined and declared by said Board in the office of said District, 1177 Del Rosa Avenue, San Bernardino, California. If bids are mailed they should be addressed to the District, 1177 Del Rosa Avenue, San Bernardino, California. ISSUE: Said bonds are in the total amount of $750,000, and are all of an issue of general obligation bonds, of said District authorized to be issued at an election held in said District on Tuesday, the 27th day of November, 1956, are dated February 15, 1957, are designated "Water Bonds of 1957', and are each of the denomination of $1,000, and are numbered consecutively from 1 -to 750, inclusive. MATURITIES: Said bonds will mature serially in consecutive numerical order from the lowest to the highest with- out option of prior payment. Said bonds will mature in the follow- ing amounts of February 15 in each of the following years: 5,000 10,000 15,000 20,000 25,000 30,000 35,000 40,000 in the year 1959; in each of the years in each of the years in each of the years in each of the years in each of the years in each of the years in the year 1985. 1960 and 1961; 1962 and 1963; 1964 and 1965; 1966 to 1969, inclusive; 1970 and 1971; 1972 to 1984, inclusive; and INTEREST: The rate of interest of said bonds shall be not to exceed six percent (6%) per annum, and will be pay- able August 15, 1957, and semi- annually thereafter represented by coupons payable on the 15th days of August and February in each of the years following their date. Bidders must specify the rate of interest which the bonds hereby offered for salewill bear. Bidders will be per- mitted to bid different rates of interest and to split rates, irrespective of the maturities of said bonds. The interest rate stated in the bids must be in multiples of 1/4 of 1% per annum, payable semiannually. PAYMENT: Both the principal and interest of said bonds will be payable in lawful money of the United States of America at the office of the District depository, The American National Bank of San Bernardino, San Bernardino, California. 102 January 8, 1957 PURPOSE: Said bonds were authorized to pay the cost and ex- pense of the construction, purchase or otherwise acquiring of water supply, storage and transmission facilities, mains and appurtenances, and lands and easements necessary therefor, and work and improvements auxiliary thereto necessary to complete same, for the benefit of the District and of its inhabitants. SECURITY: The bonds are a general obligation of the District and the Board of Directors has the power and is obligated to annually levy ad valorem taxes upon all of the taxable property within the District, if such taxation is necessary. The law provides for the levy of water rates by the Board of Directors of the District for the purpose of paying all operating expenses and debt service. If such rates are insufficient to meet all such costs, then the District must levy ad valorem taxes as described herein. Said taxable property consists of the real and personal property in said District not exempt from taxation by the Constitu- tion and laws of said State. NEGOTIABLE: Said bonds will, by their terms, be payable to bear- er and will be negotiableinstruments. TAX EXEMPT In the opinion of Bond Counsel interest on the bonds STATUS: is exempt from taxation by the United States of America under the present Federal Income Tax laws, and also from taxation by the State of California under present State Income Tax laws. In the event that prior to the delivery of the bonds, the income received by private holders from bonds of the same type and character shall be declared to be taxable under any Federal Income Tax laws, either by the terms of such laws or by ruling of a Federal Income Tax authority or official which is followed by the Bureau of Internal Revenue, or by decision of any Federal Court, the successful bidder may, at his option, prior to the tender of said bonds by the District, be relieved of his obligation under the contract to purchase the bonds, and, in such case, the deposit accompanying his bid will be returned. LEGAL OPINION: The legal opinion of Kirkbride, Wilson, Harzfeld & Wallace, San Mateo, California, approving the validity of said bonds and of all proceedings leading up to their issuance will be furnished to the successful bidder without charge. TERMS OF SALE HIGHEST BID: Said bonds will be awarded to the bidder who offers to take them at the lowest rate of interest plus premium, if any, and interest to the date of delivery, both the rate of interest and the amount of premium to be considered in determining the best bid. The purchases must pay accrued interest from the date of the bonds to the date of delivery. The cost of printing the bonds will be borne by the District. RIGHT OF The Board of Directors of said District reserves REJECTION: the right, in its discretion, to reject all bids if deemed for the public good. PROMPT AWARD: The District will take action awarding the sale of the bonds or rejecting all bids not later than 25 hours after the expiration of the time herein prescribed for the receipt of proposals, provided that the award may be made after the expiration of the specified time if the bidder shall not have given to said Board notice in writing of the withdrawal of such proposal. PROMPT Delivery of said bonds will be made to the success - DELIVERY ful bidder, as soon as the bonds can be prepared, which it is estimated will be about February 15, 1957. NORTH, Secretary EAST SAN BERNARDINO COUNTY 6mo- WATER DISTRICT RESOLUTION NO. 76 Upon motion by Director Littleton, duly seconded by Director Botts, APPROVING BOND and carried unanimously by roll call vote, Resolution No. 76, BROCHURE entitled 'A RESOLUTION APPROVING BOND BROCHURE WATER BONDS OF 1957," was adopted. Said resolution reads as follows: RESOLVED, by the Board of Directors of the East San Ber- nardino County Water District, San Bernardino County, California, that WHEREAS, J. B. Hanauer & Co., Financial Consultants for the District, have presented a form of brochure to be mailed to pros- pective bidders on the sale of the General Obligation Water Bonds of the District, and this Board has read and discussed the said form; NOW, THEREFORE, IT IS HEREBY RESOLVED that the form of brochure submitted by J. B. Hanauer & Co. is hereby approved, and said Company is hereby authorized to reproduce said brochure in quantity, and to mail it to banks and bond houses as official information provided by this Board in connection with said sale. r SEWERAGE PROJECT The subject of providin% disposal service at Patton State Hospital was discussed/length . It was pointed out that repre- sentatives of the hospital recently attended a meeting in which they evidenced considerable interest in having the District receive and dispose of sewage emanating from thehospital. At the time they stated that they had available some $200,000.00 for use in enlarging their disposal facilities. The engineers advised that the proposed trunk line and disposal plant would be adequate at this time to receive and dispose of the hospital sewage. It was pointed out that if the project was to be financed with revenue, it would be preferable for the service charge to include amortization of principal and interest of the District bonds f¢ the District's facilities than to receive a cashcontribution thereto. It was also pointed out that this would probably avoid the necessity for additional legislative authorization to the hospital. Under either plan it would be intended thatthe hospital install a sewage line from their disposal facilities to the extreme end of the proposed District system. On the question of the need for such a contractural arrangement before the bond election, it was pointed out that it would be preferable ifit could be particularly referred to in providing information to the voters. However, it was not considered that this was indispensable if the hospital was indisposed to contract before the facilities were provided, it would naturally follow that they would be desirous of hooking up as soon after District facilities were provided as possible, presuming reasonableness of terms on the part of the District. 1r/ On the question of the adequacy of the facilities to provide service for areas not within the District but within the same drainage terrain which would naturally be expected to be served by the same system, it was pointed out by the engineer that the major trunks were designed of adequate size to receive the sewage from these areas, but that the treatment plant was designed to be enlarged from time to time by the addition of other units. As to when additional units would be required, the Board was informed that the present plant capacity was available for use either from within or without the District, where the earliest growth occurred, and that the increased number of users would provide for a solution to financing the additional units when required. 105 January 3, 1957 AUTHORIZING Upon motion by Director Littleton, duly seconded by Director Taylor, PURCHASE ORDER and carried unanimously, Manager Rickert was authorized to issue a FOR RESERVOIR Purchase Order fortheinstallation of a third reservoir in the amount NO. 3 of $47,020.00. Directors present: Brooks, Littleton, Wall (Botts, Taylor, present at 3:00 P.M.) -- Also present: Manager Rickert, Engineer Rowe, Attorney Ernest Wilson, Attorney Robert Holcomb, Engineer Reiter, William Fieldman and' three representatives from J. B. Hanauer and Company, four representatives of the Citizens Water Committee, and the Secretary. MINUTES Upon indication that each member present had read the minutes of the previous meeting and that there were no additions or corrections, the minutes were declared approved. ANNEXATIONS The President announced - that this was the time and place for the Board to consider certain annexations to the District. ANNEXATION The Secretary presented the petition of Annexation 1956 -5 together with 1956 -5 the Affidavit of Publication showing that the publication had been made VICTORIA -as required by law. CYPRESS The President announced that this was the time and place as set by the Notice of Hearing to hear all protests and consider all written objec- tions to the proposed annexation. The Secretary presented her certi- ficate that the petition is signed by all the holders of title to the land proposed to be annexed. There being no written protest and there appearing no persons to offer written or oral objections to the proposed annexation, and discussion had and evidence taken relating to the benefit$ to the District and the territory proposed to be annexed which would result from the annexation, it was moved by Director Littleton, duly seconded by Director Wall, and carried unanimously, that the hearing be closed. ORDINANCE NO. 34 Ordinance No. 34 was presented to the Board. Upon motion of Director Littleton, duly seconded by Director Wall, and carried unanimously, Ordinance No. 34, Altering Boundaries of the East San Bernardino County Water District, was gassed on roll call vote. The Secretary was directed to post in three public places within the District copies of the above entitled Ordinance.
