Dear Mr. Hiltgen:
A presentation was ma~e before the Board of Directors of North
Fork Water Company on June II, 1975, by a representative of the
sub-committee of the Santa Aha River - Mill Creek Cooperative
Water Project Agreement. The present6tion included comments re-
lating to a letter dated April 21, 1975, prepared by Denslow
Green, Attorney for North Fork Water Company. The Board took
the representative's comments under advisement.
During the presentation some of the seven items in Mr. Green,s
letter were resolved. Comments on other items needed more
clarification while other items were reported to be totally
rejected by the sub Sub-Committee. In order that our files
may be complete, we would appreciate receiving a written record
of the comments presented, e~ther in letter or memorandum form.
It is our understanding the rejected items leave no room for
future negotiations or consideration for modification by North
Fork Water Company. Nevertheless, the Board of Directors direct-
ed that Mr. Green respond to comments presented by the sub Sub-
Committee. Since the meeting, Mr. Green has been contacted and
was briefed on the sub Sub-Committee comments. We are presently
awaiting Mr. Green's reply which we expect in the mail. It is
anticipated the North Fork Board will meet to review and consid-
er Mr. Green's reply.
We would like to point out that North Fork Hater Company has had
a continuing interest in the Exchange Plan as evidenced by its
representative being present at nearly all of the meetings which
have taken place by the full or Sub-Committee on the Cooperative
later ?roject Agreement. The position of North Fork was made
known during the first month of 1974 through a letter written by
Mr. Green under date of December 13, 1973, which was presented
to the Exchange Plan Committee at its meeting on February 12, 197~.
North Fork has shown an interest in the plan since the concept
report was presented early in 1973 and has been negotiating in
good faith since the Exchange Committee's first meeting on October
30, 1973.

During the presentation of comments on June ll, 1975, it wasmadecleartotheNorthForkBoardbythesubSub-Committee
representative that in the event North Fore failed to signtheAgreementandacceptthetermspresented, East San Bernar-dino County Water District would not be approved as a party
or member of the Exchange Plan. This condition or comment was
presented before the North Fork Board had taken a final position
on items to be resolved or had received'the benefits of legalcounsel. This unfortunate statement involving a party otherthanNorthFork, was made before final action was taken by NorthForkont~e sub Sub-Committee's comments.
Board action, however, requested that their represent'arise con-tinue to meet with the Exchange Committee as long as North Fork
was considered a party of the Agreement.
