PRESENT: Arnold L. Wright Elizabeth Kiel Joseph A. Rowe Laird Roddick Dennis L.Johnson Victor Ray Bonnie R. Eastwood, Secretary OTHERS PRESENT: Billie Evans Mary Lou Jenks Angie Power Johnie Ray Gailen Arnott Ronald Arnott Jim Evans Alice Rowe Don Kiel E.O. Larsen The Minutes of March 26, 1981 were read by the Secretary M/S/C (Ray-Rowe) that the Minutes of March 26, 1981 be approved as read. AUDIT REPORT FOR 1981 The Audit Report was reviewed by the Board of Directors. Discussion was held relative to assets. M/S/C (Ray-Roddick) that the 1981 Audit Report be accepted as prepared by Eadie and Payne. M/S/C (Kiel-Johnson) that Eadie and Payne be authorized to prepare the 1982 Audit Report. REPORT ON NORTH FORK CANAL President Wright reported that the canal has been cleaned and is in very good shape. There has been water in the ditch recently and is ready for use. AMENDMENT OF BY-LAWS, SECTION 7.16 - WATER NOT TO BE USED FOR DOMESTIC PURPOSES President Wright explained to the Board and stockholders present the need for amending Section 7.16 of the Company By-Laws. He read the proposed amendment as follows: "Section 7.16. Water not to be used for domestic purposes. The water system of the company is designed to serve water N? 98 for agricultural use and not for domestic use. Water distributed through it is and will be subject to contamination and may at any time or place be unfit for human consumption. Water delivered by the company shall not be used for domestic purposes. "Domestic purposes" means the direct use of water from the Company's water system for normal household uses, e.g., drinking, cooking, bathing, and the filling of swimming pools. In case of violation of this section, water may be withheld by the company from any stockholder guilty of such violation, and such withholding may be made and continue under any or all shares owned by such shareholder until such shareholder shall assure the Board to its satisfaction(whether by written agreement, construction of physical works tending to prevent domestic use, or otherwise) that such shareholder will thereafter not use water to be delivered by the company for domestic purposes." President Wright asked if anyone had any questions relative to the proposed amendment. No comments were forthcoming. The amendment will allow water to be spread for other non-domestic purposes. M/S/C (Johnson-Kiel) that Section 7.16 of the North Fork Water Company By-Laws be amended as submitted. The Board voted unanimously in this action. RATIFICATION OF BOARD ACTION M/S/C (Arnott-Jenks) that the official actions taken by the North Fork Board of Directors during 1981 be ratified. NOMINATIONS FOR BOARD OF DIRECTORS President Wright asked for nominations for the Board of Directors for the ensuing year. M/S/C (Ray-Powers) that the present Board remain as seated; that the Board of Directors of North Fork Water Company consist of Arnold Wright, Elizabeth Kiel, Joseph A.Rowe, Laird Roddick, Dennis Johnson, Raymond S. Keslake and Victor Ray. Adjournment There being no further business the meeting adjourned at 7:45 P.M. Bonnie R. Eastwood Secretary
