MINUTES
The meeting was called to order at 2:00 p.m. by President Wilson. General Manager Robert
Martin led the flag salute.
PRESENT: Directors Lightfoot, Sturgeon, Wilson, Goodin, Negrete

APPROVAL OF AGENDA
Pursuant to Government Code Section 54954.2(b)(2), the Board determined by a
unanimous vote, and at the request of the General Manager, Robert Martin to add the
following CLOSED SESSION items to the Agenda as the need to take immediate action
thereon arose after the Agenda was posted:
25. CONFERENCE WITH LEGAL COUNSEL—ANTICIPATED LITIGATION
Initiation of litigation pursuant to Government Code Section 54956.9(c).
One Potential Case

amended.

the East Valley Water District Requesting the Local Agency Formation Commission to

Number 297-011-09) be removed from the consent calendar.
M/S/C (Goodin-Negrete) the item #6 Resolution 2004.31 — A Resolution of
Application by the East Valley Water District Requesting the Local Agency Formation
Commission to Initiate Proceedings to Annex its Sphere of Influence as it is Related to
Assessor's Parcel Number 297-011-09, be removed from the consent calendar.
APPROVAL OF OCTOBER 12, 2004 BOARD MEETING MINUTES
M/S/C (Lightfoot -Goodin) that the October 12, 2004 Board Meeting Minutes be
approved as submitted.
RESOLUTION 2004.29 — ACCEPT DEDICATION OF WATER DISTRIBUTION
SYSTEM WITHIN TRACT 14362 (LOTS 101, 171-187 AND 206-228) IN THE CITY
OF HIGHLAND was presented to the Board for approval.
M/S/C (Lightfoot -Goodin) that Resolution 2004.29 be approved.
RESOLUTION 2004.30 — ACCEPT DEDICATION OF SEWERS WITHIN TRACT 14362
(LOTS 101, 171-187 AND 206-228) IN THE CITY OF HIGHLAND was presented to the
Board for approval.
M/S/C (Lightfoot -Goodin) that Resolution 2004.30 be approved.
APPROVAL OF DEVELOPMENT AGREEMENT BETWEEN EAST VALLEY
WATER DISTRICT AND EMMANUEL JOHN DAMOULAKIS TO SUBDIVIDE
AND DEVELOP CERTAIN REAL PROPERTY WITHIN THE BOUNDARIES OF
THE DISTRICT WHICH IS LOCATED SOUTH OF WATER STREET AND WEST
OF APLIN STREET, IN THE CITY OF HIGHLAND was submitted to the Board for
approval.
M/S/C (Lightfoot -Goodin) that the Development agreement between East Valley
Water District and Emmanuel John Damoulakis be approved as submitted.
APPROVAL OF LIENS FOR DELINQUENT WATER AND SEWER ACCOUNTS
The General Manager stated that the charges identified by Account Number 0040081-02,
0082653-01, 0250459-02, 0310172-02 had been paid and should be removed from the lien
list.
M/S/C (Lightfoot -Goodin) that the liens for delinquent water and sewer accounts be
approved for processing with the exceptions as noted by the General Manager.

DISBURSEMENTS
M/S/C (Lightfoot -Goodin) that General Fund Disbursements #199113 through
199436 distributed during the period of October 12, 2004 through November 3, 2004 in the
amount of $2,015,553.17 and Payroll Fund Disbursements for the period ended October 1,
2004, October 15, 2004 and October 29, 2004 in the amount of $3,973.07, $95,539.96 and
$94,109.28 totaling $193,662.31 be approved.
RADON RULE/PERCHLORATE RULE UPDATE
The General Manager advised that there was nothing new to report on the Radon issue; that
the State Health Department is currently working on a pre-release version of the Drinking
Water for Perchlorate Rule that should be published for comment sometime next year.

HEADQUARTER PROJECT REVIEW AND UPDATE
The General Manager informed the Board that the District is reviewing the final design phase
of the District Headquarters; that CTG Energetics has been retained to complete the
commissioning process for the District Headquarters.
Director Sturgeon commented on information that he received regarding the LEED's
program.
Director Goodin suggested that District employees participate in the design phase of the
fitness facility at the new District Headquarters.

CONTRIBUTION FOR SPECIAL DISTRICT PUBLIC EDUCATION PROGRAM
FROM CALIFORNIA SPECIAL DISTRICT ASSOCIATION (CSDA) AND
ASSOCIATION OF CALIFORNIA WATER AGENCIES (ACWA).
M/S/C (Sturgeon-Negrete) that the District commit $1000.00 for the Special District
Public Education Program from California Special District Association and the Association
of California Water Agencies.
The motion was approved by a 4-1 vote:
Directors: Negrete, Sturgeon, Wilson, Lightfoot voted YES.
Director: Goodin voted NO.

RESOLUTION 2004.31 — A RESOLUTION OF APPLICATION BY THE EAST
VALLEY WATER DISTRICT REQUESTING THE LOCAL AGENCY
FORMATION COMMISSION TO INITIATE PROCEEDINGS TO ANNEX ITS
SPHERE OF INFLUENCE AS IT IS RELATED TO ASSESSOR'S PARCEL
NUMBER 297-011-09 was presented to the Board for approval.
The General Manager updated the Board regarding the proceedings to annex its sphere of
influence regarding parcel #297-011-09.
M/S/C (Goodin-Negrete) that Resolution 2004.31 be approved.
REVIEW AND ACCEPT FINANCIAL STATEMENTS FOR PERIOD ENDED
SEPTEMBER 30, 2004.
M/S/C (Sturgeon -Lightfoot) that the Financial Statements for period ended September
30, 2004 be accepted.
DIRECTORS FEES AND EXPENSES FOR OCTOBER 2004 were presented to the
Board for approval.
President Wilson informed the Board that he needed to amend his expense report, as he was
not able to attend the Upper Santa Ana Water Resource Association meeting.
M/S/C (Sturgeon-Negrete) that the Directors Fees and Expenses for September 2004
be approved as amended.
DISCUSSION AND POSSIBLE ACTION REGARDING OFFICIAL BALLOT FOR
THE SAN BERNARDINO AREA CHAMBER OF COMMERCE BOARD OF
DTR"FCTCRS.
M/S/C (Negrete-Lightfoot) approve the committee recommendation and the official
ballot for the San Bernardino Area Chamber of commerce Board of Directors.
RELEASES OF LIEN FOR DELINQUENT WATER AND SEWER ACCOUNTS
List of liens released on November 4, 2004 was reviewed. Information only.
WATER QUALITY CONFERENCE BUDGET
President Wilson expressed gratitude to the General Manager, Jo McAndrews and staff
regarding the Water Quality Conference.
The General Manager commented that the District has received comments and suggestions
regarding the Water Quality Conference and would provide these to the Board at a future
Board Meeting,

INVESTMENT REPORT FOR QUARTER ENDED SEPTEMBER 30, 2004.
The Investment Report for Quarter Ended September 30, 2004 was reviewed. Information
Only.
GENERAL MANAGER'S REPORT
The General Manager reported on the District's operations to date; that the Arroyo Verde
Mutual Water Company project and the pipeline replacement project on Victoria and
Highland are currently underway; that there is water currently being spread throughout the
basin; that during the Water Quality Conference the General Manager met with a number of
officials from the Department of Defense regarding a possible partnership on Perchlorate
research with AWWArf, East Valley Water District and the Department of Defense.

ORAL COMMENTS FROM BOARD OF DIRECTORS
Directors Sturgeon requested the emergency on-call list be simplified.
Director Goodin, Negrete and Lightfoot expressed gratitude to the General Manager and staff
regarding the Water Quality Conference.

ANNOUNCEMENT OF CLOSED SESSION ACTIONS

The Board by a unanimous vote approved the settlement agreement with Network Adjusters
Insurance Company in the sum of $10,688.22 to be paid to the District upon execution of
signed release by the General Manager.

RE: Nextel - Communications Site Lease Agreement (Ground) ("Lease")
Pursuant to your request, I have the following preliminary comments with respect to the above -
referenced Lease:
Owner/Landlord. The "Owner" or "Landlord" should be identified in the introductory
paragraph of the Lease as "East Valley Water District, a county water district organized and
operating pursuant to California Water Code Section 30000 et seq.," not as the East San
Bernardino County Water District. All other references in the Lease to "East San Bernardino
County Water District" should be changed to "East Valley Water District."
2. Automatic Renewal. Under Section 3 of the Lease, Nextel would have a perpetual option
to unilaterally extend the Term of the Lease for successive five-year periods. Pursuant to
Section 10 of the Lease, the District would be forced to continue to lease the Premises to
Nextel in perpetuity unless Nextel breached any term or condition contained therein. It still
seems to me that the District should retain some right to terminate the Lease after a certain
period of time or if circumstances (e.g., court order) so dictate.
Rent. For reasons that are unknown to me, Nextel has removed from Section 4 of the Lease
its previous obligation to pay the sum of $999.00 per month as rent to the District. Nextel
has also completely deleted Section 4(b) of the Lease that provided for an automatic 15%
increase in the monthly rent after each five-year renewal thereof. Nextel has offered no
explanation for these changes.

4. Environmental Review. Section 6(a) of the Lease contemplates the construction and
installation of Facilities that could have the capacity to cause a significant impact on the
environment. Consequently, the District's consideration of the Lease is a discretionary act
subject to the legal requirements of the California Environmental Quality Act ("CEQA"),
Public Resources Code Section 21000 et seq., and the Guidelines promulgated thereunder,
California Code of Regulations Section 15000 et seq. Thus, adequate environmental review
of the project that is the subject of the Lease is necessary before the District can enter into
the Lease. While Nextel has indicated that it will provide the District with "a copy of its
Phase I and NEPA reports for the site," there are no provisions in the Lease that expressly
obligate Nextel to cover all costs associated with the satisfaction of the applicable statutory
requirements under CEQA.
5. Access Road. Pursuant to Section 6(d) of the Lease, Nextel would have the authority to
construct an access road across the District's Land if Nextel "reasonably determines" that
such access road is necessary for ingress and egress to and from the Premises. Since the
Lease also provides that the District would be responsible for maintaining the access road
after the expiration the Lease, the determination as to its necessity should not be left to
Nextel's sole discretion, subject only to "reasonable Landlord terms and conditions."
6. Insurance. Under Section 12 of the Lease, both Nextel and the District would be required
to procure and maintain insurance on the Premises. Each party would be named as an
additional insured on the other's policy. Based upon our conversation with Skip Wilson and
the materials that he has famished me, I suggest that the Lease provisions regarding Nextel's
insurance be modified to incorporated Sections C, F, G, H,1, and J of the document attached
hereto.
7. Waiver of Subro aQ tion. Section 13 of the Lease provides that Nextel and the District will
release each other from any claims for damage that result from the risks that are covered by
the parties' respective insurance policies. I suggest that the District obtain an opinion from
Caldwell & Moreland as to the appropriateness of this provision.
8. Indemnification. The following sentence should be inserted between the fust and second
sentences of Section 14 of the Lease: "In addition, Tenant shall indemnify, defend, and hold
Landlord and its officers, directors, employees, agents, representatives, successors, and
assigns harmless from and against any and all Losses arising out of the Investigations and
Tests and/or the construction, installation, operation, use, maintenance, repair, and/or
replacement of the Tenant Facilities."

INSURANCE REQUIREMENTS
Contractor shall, at its sole expense, acquire and/or maintain ill tft% ill Z t)IYIe$ during

insurance coverages and the conditions appurtenant thereto:
A. Worker's Compensation — In accordance with the laws of the State of California with
a minimum of $500,000 employer's liability.
B. Automobile Insurance — In a form acceptable to Agency;, and covering all motor
vehicles operated by or on behalf of contractor, including trailers and contractor's
equipment, and providing liability limits for bodily injury and property damage of not
less than $5,000,000 combined single limit per occurrence, and uninsured and
underinsured motorist coverage of at least $1,000,000, or the statutory maximum,
whichever is highest.
C. General Liability Insurance — In a form acceptable to Agency, and providing all
coverages appropriate to work to be performed. Said coverages may include, but not
be necessarily limited to, broad form property damage, explosion, collapse and/or
underground liability, owner's and contractor's protective liability, and any special
coverage that may be required as a result of work activity adjacent to rights of way
under the j urisdiction of governmental entities and/or railroads. The forgoing general
liability insurance must provide bodily injury and property damage limits of not less
than $5,000,000 combined single limit, per occurrence.
D. Aviation Liability Insurance — If appropriate, in a form acceptable to Agency,
providing limits of not less than $5,000,000 per occurrence for bodily injury, property
damage, and passenger seat liability. Said coverage shall also include breach of
warranty protection and waiver of subrogation in favor of Agency.
E. Professional Liability Insurance — If appropriate, in a form acceptable to Agency,
with limits of not less than $2,000,000.
F. Contractor and its insurer(s) will stipulate that the insurance required under this
agreement shall be primary as respects Agency, its officers, directors, and employees
and that any and all other coverage that may be available to Agency is excess and
noncontributory.
G_ Except as provided under "A" and 'T" above, Agency, its officers , directors, and
employees shall be expressly covered as additional insureds on ail insurance required
under this agreement and endorsements) evidencing such coverage shall be provided
to Agency, prior to commencement of work.
H. Contractor shall provide Agency with certificates) of insurance which reflects the
coverages required under this agreement, in a form acceptable to Agency, and signed

San Bernardino Valley Water Conservation District is hosting the
December membership meeting at the RADISSON HOTEL in
San Bernardino.
The social hour will begin at 6 p.m. with a call to order at 6:45 p.m. A sit-down
dinner will be served. All dinners will have a salad and a dessert. Warm rolls &

MEMORANDUM FOR New GETS Card Recipients
SUBJECT: Government Emergency Telecommunications Service (GETS) Card
Your GETS Personal Identification Number (PIN) card and instructions are enclosed. These cards
provide a valuable capability to help you respond to National Security/Emergency Preparedness (NS/EP)
events when you are unable to complete emergency calls through normal or alternate telecommunications
means. GETS PIN cards come with a few responsibilities:
• GETS should only be used:
During an emergency or natural disaster after experiencing call congestion or
blockage, and
While performing duty in an NS/EP role.
• Your card is active upon arrival, but you should make a test call immediately to validate receipt
and ensure it is working. You should also periodically make test calls to maintain familiarity
with GETS. Instructions for making test calls are included with your card.
• Safeguard your PIN as you would a personal phone calling card.
• When you no longer work in a position supporting NS/EP, notify your organization's Point of
Contact or call one of the numbers below to transfer or cancel your GETS card.
• If it becomes necessary to share your PIN during an emergency, notify GETS User Assistance
as soon as possible. When the need for multiple users of your PIN no longer exists, advise
GETS User Assistance and a new PIN will be issued to you.
Problems or questions about using GETS should be directed to User Assistance, available 24 hours
a day at (800) 818 -GETS (4387). If you need additional information about GETS or other NS/EP
programs, please contact your POC or a GETS Administrator at (703) 676-2255 or (703) 607-6118 during
normal office hours.
