"SKIP" WILSON AS A MEMBER OF THE ASSOCIATION OF CALIFORNIA WATER AGENCIES REGION 9 BOARD MEMBER, was presented to the Board for approval. DISTRICT HEADQUARTERS PROJECT REVIEW AND UPDATE The General Manger updated the Board updated the Board on the Permanent District Headquarters site; that the project is moving forward. Information Only. LETTER TO KATHLEEN ROLLINGS-MCDONALD, EXECUTIVE OFFICER AT LAFCO REGARDING LAFCO 2919-SERVICE REVIEW AND SPHERE OF INFLUENCE UPDATE FOR THE SAN BERNARDINO VALLEY WATER CONSERVATION DISTRICT, was presented to the Board. The General Manager updated the Board on the letter to Kathleen Rollings-McDonald; that he prepared the letter at the request of the Board of Directors. Larry Libeu stated that he supports Status Quo. MlS/C (Negrete-Lightfoot) that the letter to Kathleen Rollings-McDonald be approved and signed by Vice President Sturgeon. ~ 2 Minutes: 07/12/05 DIRECTORS FEES AND EXPENSES FOR JUNE 2005 were presented to the Board ~ for approval. M/S/C (Lightfoot-Negrete) that the Directors Fees and Expenses for June 2005 be approved. GENERAL MANAGER'S REPORT The General Manager reported on the District's operations to date; that we are providing a Harassment Prevention Training program for the general workforce in addition to the state mandated training program required for Supervisors; that we are working on many improvements projects throughout the District; that we are in the first stages of a replacement pipeline project on 5th Street West of Boulder Avenue. DISTRICT HEADQUARTERS SITE UPDATE The Board is concerned with the continuing delays regarding the District Headquarters Project. The Board requested staff to contact GMID and have Gary Miller attend the next regularly scheduled board meeting to discuss their concerns with the District's Headquarters project and GMID. Since then I have interviewed EVWD General Manager and Chief Financial Officer, reviewed current insurance policies, visited major EVWD locations and operatillg sites and have met with Richard Caldwell and Julie Ryback, Customer Service Agent at Arroyo Insurance. I have prepared the following comments and recommendations for your consideration: A. Timing, Renewal Proposal Content 1. I understand Arroyo has begun the process of gathering renewal information and contacting interested carrier~ about EVWD renewal policies. 2. I recommend Arroyo be tasked with submitting renewal proposals by not later than close of business on September 5, 2005, to include: a. Competing proposals, coverage, carrier security, services and cost analysis and recommendation of the "best" proposalfor EVWD, with reasons why. b. Analysis of recommended renewal coverage, carrier security, services and costs for the 2005-2006 policy period, compared to expiring arrangements. ~ 1 ..'- ......... c. All income realized or to be realized by Arroyo by way of commissions, profits participation (however termed) or contingency payments (however termed) from any and all sources, for the 2004-2005 policy year and the 2005-2006 term. d. I recommend Arroyo be asked to provide optional three-year policy proposals, if available with "premium lock" features. Current policies allow for multiple year policy terms, but require annual premium computation according to then-current rules and rating levels. B. Property, Liability and Criminal Loss "Package" Policy 1. I recommend EVWD respond as soon as practicable to Arroyo request for updated property insurance location and value information, to enable prompt renewal proposals by insurers and delivery of proposals by Arroyo. 2. Arroyo should be asked to provide replacement-cost valuation factors, to reflect increases from existing to renewal values of buildings and business personal property. Updated values should be used for renewal proposals. 3. I understand that EVWD has water sharing and mutual support arrangements with neighboring water agencies to minimize service interruption and resulting loss of revenue from ''usual'' insured risks, for instance of fIre, vandalism and windstorm. 'llIIll" a. I recommend Arroyo assist EVWD is setting an insured value, and time of duration, for potential "loss of business income" losses. 1. Coverage should be organized to apply from the first date of loss, until income flow is restored to the level it was Just before the loss event (extended period of indemnity). ii. An optional proposal of loss of business income coverage should be submitted, along with a comparison with continuation of coverage as now arranged within the expiring policy. J b. It is important that EVWD review location descriptions and assigned values to assure accurate depiction of exposures and insured values. 1. For instance $7,000,000 property coverage now applies to "electrical panels and telemetry" values at 4585 Highland Avenue, Highland, CA. ii. I suspect the total $7,000,000 value applies to "buildings and equipment, including electrical panels and telemetry", a more accurate description of the insured risks. ~ 2 ..'- ........ ow ~~ ~ iii. Similarly, the Schedule of Values should be expanded either to include specific business personal property values, or to indicate "included" under the schedule of such property. 4. The current policy is unclear about providing "blanket" coverage of insured property values. There is a specific schedule of insured values for each plant and location, split between buildings and business personal property. There is also reference to the schedule of values with a total insured amount of $26,327080 for buildings and $200,000 on Personal Property. Loss of Income coverage is included, but no amount of coverage is shown. a. I found no reference to the actual total of insured values as being the "blanket" amount of coverage that could apply to any insured loss to buildings, personal property and loss of income. b. I recommend Arroyo be tasked with securing proposals that clearly provide "blanket" property coverage, with one large amount that could be used in case of a catastrophic loss to EVWD property. 5. The current policy form indicates coverage applies on a Replacement Cost basis. There is an "Actual Cash Value" definition (insuring depreciated values) that detracts from a clear understanding that full Replacement Cost coverage' applies (new-for-old without depreciation). I recommend renewal proposals clearly indicate such Replacement Cost coverage on 'all buildings and business personal property.' . 6. There is now a $2,500 deductible against most property and equipment breakdown losses. I recommend that Arroyo Insurance be asked to secure additional deductible proposals of $5, 000, $10,000 and $25,000 to show the cost effects of higher deductibles. 7. Mechanical breakdown coverage now applies to declared values, and insures against specified sources of loss usual to EVWD risks (pumps and motors used to transport water throughout the system). I recommend Arroyo also secure proposals for full Boiler and Machinery coverage, with deductibles to match those applicable to other property losses. 8. The policy specifically excluded the planned construction ofEVWD new headquarters building, while in coursed of construction. As building plans are reviewed and approved, and prior to beginning construction, specific coverage needs to be arranged, for the full replacement cost ofthe building, business personal property and rental value of the new building. 9. General Liability coverage now has a $2,500 deductible each source of loss. I recommend Arroyo be asked to secure optional proposals of $5,000 and $10,000 3 ....... -- 1W' deductibles, to show the cost impacts of EVWD taking more risk of general liability loss, while keeping Mgh-limit liability coverage. 10. I recommend Arroyo be asked to propose additional liability coverage extensions, including: a. Host Liquor Liability to protect against liability arisingfrom giving or providing alcoholic beverages at EVWD-sponsored events, b. Extended Personal Injury, to cover intentional acts done to protect persons or property, c. Contractual Liability to cover risks assumed by EVWD under contracts. 11. Criminal Loss coverage limits of $250,000 protect against Employee Dishonesty, Forgery and Theft, with $100,000 Computer Fraud coverage. Each coverage part has a $250 deductible, each loss. a. I recommend Arroyo be asked to secure alternative proposals with limits of at least $1,000,000 for each coverage, including Computer Fraud, with deductibles of $2,500, $5,000 and $10,000. b. EVWD could benefit from higher insured limits, while using higher . deductibles to offset higher pretn!um costs. c. Commercial Auto Policy 1. Limits of coverage and insured risks under this policy are usual for businesses similar to EVWD, in my experience. 2. I recommend adding Broad Form Drive Other Car for those EVWD employees who are allowed to use a "company car" but do not otherwise own and insure a private passenger car. If such an employee were to borrow an uninsured passenger car, EVWD liability coverage would not follow that driver, thus leaving a possibly uninsured situation. Ifliable for the use of the borrowed car, EVWD coverage would protect EVWD. 3. Uninsured Motorists, Underinsured Motorists and Medical Payments coverage is duplicative with Workers Compensation coverage of EVWD employees. I recommend that EVWD consider dropping such coverage except on vehicles, if any, used to transport members of the public, contractors or guests of EVWD. 4. Comprehensive and Collision Physical Damage coverage applies to most EVWD vehicles. I recommend Arroyo be asked to propose such coverage a) 4 as an extension of what is now in place; and b) only on vehicles under 5 -- years old and with cost new values over $25,000. D. Excess Liability Following Form Policy I. Increased liability limits of $ 10,000,000 apply excess of underlying coverage outlined above, with concurrent renewal dates. 2. The policy shown no "prior acts" coverage against sources of loss that took place before the October 1, 2004 inception date of the policy. Lack of prior acts coverage may leave a coverage gap in that loss-related events that may happen prior to policy inception, but are reported during the policy period may not be insured. a. I recommend that Arroyo be asked to secure proposals for full "prior acts" coverage back to theftrst date any "claims made" coverage was purchased by EVWD. Such coverages include Employment Practices, Professional LiabilitylWrongful Acts, Employee Beneftts Liability. This extension of c'overage will protect against losses happening before this policy began, but may be reported and "claims made"during this policy period. b. In addition to including "prior acts" coverage, I recommend the renewal -- proposal include a "retroactive date" back to theftrst day such "claims made" coverage was purchased by EVWD. E. Excess Liability Policy 1. Coverage of$IO,OOO,OOO applies excess of the $10,000,000 liability coverage outlined above. 2. I recommend Arroyo be asked to provide full "following form" coverage under this excess liability policy, to assure concurrent terms and conditions will apply in case of a catastrophic liability event. 3. I recommend Arroyo be asked to propose optional higher insured limits, up to $25,000,000 and $50,000,000. The decision to buy materially higher limits, of course, is a business judgment by EVWD Board and management. F. Property Insurance against Earthquake and Floor Losses 1. Buildings and personal property values are insured against Earthquake and Flood with a total amount of $5,000,000 anyone loss event, with deductibles of 5% of values ($50,000 minimum) in case of earthquake and 2% of values (minimum $25,000) for flood. ....... 5 "- 2. Coverage also applies to water and sewer piping, with $5,000,000 total coverage against Earthquake with deductibles of 5% of values ($100,000 minimum) for earthquake and 2$ of values ($100,000 minimum) for flood losses. ...... 3. I recommend Arroyo be asked to propose the option for total amounts of Earthquake and Flood coverage, to include loss of business income, of $15,000,000, $20,000,000 and $25,000,000, with deductibles required by the insurance market, but with options of up to 10% of values with $250,000 minimums. a. Inclusion of loss of business income coverage is essential in case of a severe earthquake or flood that could interrupt EVWD capability to serve its customers. b. The decision of "how high is up" in terms of buying catastrophe coverage, of course, is a business judgment to be made by EVWD Board and management. G. Pollution Liability Coverage 1. Coverage of $2,000,000 applies to each and all claims, with a $50,000 deductible each claim, with a coverage retroactive date to October 1, 1996. ......" 2. Coverage applies to scheduled Locations I through 42, and included underground storage tanks, as well. I recommend a review of covered locations by EVWD, to assure all exposed locations are included. 3. I recommend Arroyo be asked to propose limits of $2,000,000, $5,000,000 and $10,000,000, to enable EVWD Board the chance to gauge the cost and value of more pollution liability protection. The contract value was increased by Amendment No.3 dated August 4, 2004 by $583,172 (Five Hundred Eighty Three Thousand One Hundred Seventy Two and 00/100) to a revised total of $758,172 (Seven Hundred Fifty Eight Thousand One Hundred Seventy Two and 00/100 Dollars). Additional work related to the design of the perchlorate pipelines included: a survey of Date Street from Del Rosa Avenue to Sterling Avenue; Redesign of Railroad Pipeline from Del Rosa to Sterling; Preparation of Sterling A venue Pipeline materials pre- purchase package and bidding services: traffic control design for the Sterling Avenue Pipeline; shop drawing review of Sterling Pipeline procurement; street cut permits with the City of San Bernardino, the City of Highland, and the County of San Bernardino; and the construction survey staking for the Sterling Avenue Pipeline. This work was defined in the CDM letter dated February 28, 2005 for a cost of $95,200, which was not added to the Amendment No.3 contract value, but is being performed under the current contract value of $758,172. ~ Amendment No.4 will add the Phase III engineering support services during construction for the Sterling Pipeline including: pre-construction meeting; responding to RFls; preparing change orders, and providing field visits to the construction site for ~ up to 16 hours per week and up to 52 weeks during the construction period; and record drawings. The contract value will be increased by Amendment No.4 by $161,320 to a revised total of $919,492. Accordingly, the above parties hereby agree that the following provisions of the original Agreement shall be modified as follows: 1. Exhibit A- Scope of Work - The scope of work to be conducted under this exhibit shall be modified to include the following tasks: PHASE III - Engineering Support Services During Construction Task 1- Proiect Management: This task includes twelve monthly progress meetings, project scheduling, project administration, manage subcontractors, file set-up, document control, and QA!QC activities. The CDM standard Quality Management Process (QMP) will be followed on this project. Task 2 - Proiect Startul1: Provide assistance to the EVWD in assembling applicable contract documents, attending the pre-construction meeting, preparing meeting minutes, and responding to action items as a result of the meeting. ~ Task 3 - RFIs and Work Change Directives: ENGINEER shall prepare responses to all Requests for Information (RFIs) received, recommend Work Change Directives to EVWD as appropriate, and shall prepare Work Change Directives as required. Tasks will be performed to meet EvWD'S construction schedule. . ENGINEER will prepare responses for not more than twenty (20) RFls during construction. RFls will be responded to within five working days, unless detailed investigation is required. . ENGINEER will prepare and process not more than ten (10) Work Change Directives during construction. Work Change Directives will be evaluated and prepared within ten working days of receipt. Task 4 - Engineerin!? Support Services: The intent of this task is primarily related to addressing changes in the original design of the Sterling A venue Pipeline resulting from changes in field conditions and! or the discovery of newly found facilities that would require modifications to the original plans and specifications. TItis task is not intended to use ENGINEER's services for construction inspection purposes, but for design changes in the field. Under this task, ENGINEER shall visit the construction facilities on an as-needed basis as required by EVWD. The ENGINEER shall be required to provide the necessary technical expertise to address potential changes to the original design plans and ~ specifications. 2 ~ ENGINEER shall not, during field visits or as a result of field observations of EVWD's work in progress, supervise, direct or have control over EVWD's work nor shall ENGINEER have authority over or responsibility for the means, methods, techniques, sequences or procedures of construction selected by EVWD, for safety precautions and programs incident to the work of EVWD or for any failure of EVWD to comply with laws, rules, regulations, ordinances, codes or orders applicable to EVWD's furnishing and performing the work. Accordingly, ENGINEER neither guarantees the performance of any contractor nor assumes responsibility for any contractor's failure to furnish and perform its work in accordance with the Contract Documents. ENGINEER shall not be responsible for the acts or omissions of EVWD, any contractor or subcontractor, any supplier, or of any other person or organization performing or furnishing any of the work. ENGINEER shall not be responsible for EVWD's failure to perform or furnish the work in accordance with the Contract Documents. It is anticipated that services provided by ENGINEER shall be limited to an average of 16 hours per working week under this task. CHANGES TO EXHIBITS B and C 3 Exhibit B- Rate Schedule- The ENGINEER'S 2003 hourly rate schedule under the original agreement shall be replaced with the ENGINEER'S 2005 hourly rate schedule attached.
