HIEADQUARTERS PROJECT REVIEW AND UPDATE '
Director Sturgeon would like to know who is heading up the Headquarters Project due to
the Headquarters Committee being dismantled. Director Sturgeon stated that there are a
number of items still outstanding as they relate to the DistricYs Headquarters Project
(Fueling Facility, Fleet Management, LEED's).
President Goodin stated that he would have the General Manager report on the DistricYs
Headqua-ters.Project and the progress of the project at each board meeting; and that
Special F3oard Meetings would held to discuss such items and actions when necessary.

The District Engineer reported on the District's operations to date; that the District is in
the proce:ss of drilling a new well at Plant 151; that they have drilled approximately 920
feet.
Mr. Tompkins reviewed Eastwood Farms Mutual Water Companies account history with
the Boar~i; that Eastwood Farms has met with the DistricYs Engineering Department and
are curr~;ntly reviewing assessment drawings and preliminary reports regarding the
formatio:~ of an Assessment District. Information only.

the new ~~mni Trans faciliry.

BUDGE7' REVIEW
The General Manager reviewed the mid-year budget changes with the board; that this is a
review of the District's revenue and expenditures. The General Manager stated that Well
11 would be temporazily out of service and Well 40 is currently out of service due to
nitrate an~i uranium contaminants; that the cost to bring we1140 back on line would be 1.4
million. 'I'he General Manager stated that there are two financing options that the board
could consider 1) purchasing the treatment units or 2) financing the treatment units for teu
years. This item will be added to a future agenda for further boazd consideration.

DEVELOPMENT AGREEMENT FOR WATER AND SEWER
TRACT 18011

TE[IS AGRE:EMENT is made this day of , , by and between EAST
VALLEY WATER DISTRICT, a public agency (hereinafter "the DISTRICT"), and GO-MAN
CONSTRUCTION. INC. (hereinafter "the DEVELOPER").
IbECITALS
A. The DISTRICT is a County Water District organized and operating pursuant to
California Water Code Section 30000 et seq.
B. The DEVELOPER proposes to subdivide and develop certain real property within
thf; boundaries of the DISTRICT, which is located 25604 WALKER AND 25608 WALKER
STREET, in the City of HIGHLAND, County of San Bernardino, State of California, and is
generally idf;ntified as WALKER STREET (hereinafter "the PROPERTY). A copy of the
Tentative Parcel Map for the PROPERTY is attached hereto as Exhibit "A" and is incorporated
herein by this reference.
C. The development of the PROPERT'I' will consist of _ dwelling units, and the
D13VELOPER desires that the DISTRICT provide domestic water and sewer service to the
PROPERTY. The DEVELOPER intends to design and construct the facilities necessary for
water and sewer service to be furnished to the PROPERTY.
D. The DISTRICT supplies domestic water and sewer service within the area to be
served and is the public agency empowered by law to provide such services to the PROPERTY.
E. The purpose of this AGREEMENT is to provide the terms and conditions under
which the DEVELOPER will design and construct the facilities necessary for the DISTRICT to
supply water and sewer service to the PROPERTY (hereinafter "the PROJECT").
COVENANTS
NO~V THEREFORE, in consideration of the preceding Recitals and the mutual
Covenants contained herein, the parties hereto agree as follows:
Section 1. DESIGN OF FACILITIES. The DEVELOPER agrees to design the water and
se~ver facilities for the PROPERTI' in the following man.ner and according to the Rules and
Regulations vf the DISTRICT:
a. The DISTRICT agrees to pr~~vide to the DEVELOPER tentative
water and sewer plans which conform to the requirements of the DISTRICT.
b. The DEVELOPER agrees to design the water and sewer facilities
for the PROPERTY in accordance with the DISTRICT's S[andards for Design and
Processing of Water and Sewer Plans and the tentative plans provided by the
DISTRICT. The desi~s shall be submitted to the DISTRICT in a complete form
which shall provide sufficient information for review and approval by the
DISTRICT in the exercise of its sole discretion.
c. The DISTRIC'I' may reque;>t certain changes in the plans to
provide for oversizing of facilities, which DEVELOPER agrees to incorporate into
the plans and specifications for the PROPERTY.
d. The DEVELOPER shall furi~ish the DISTRICT with any and all
easements necessary for the construction, ope:ration, maintenance, and repair of any
and all water and/or sewer facilities to be installed and/or used for the PROJECT.
All easements shall be submitted to the DIST'RICT for review and approval by the
DISTRICT in the exercise of its sole discretion prior to the DISTRICI"s acceptance
of any dedication of the PRO7ECT f~icilities under Section 6 of this
AGREEMENT.
e. The DEVELOPER shall submit all plans, drawings, specifications,
and contract documents, for all work 1.o be performed pursuant to this
AGREEMENT, to the DISTRICT for review and approval, if acceptable to the
DTSTRICT. The DISTRICT agrees to review all such documents in a timely
manner and, upon inclusion of all changes thereto requested by the DISTRICT in a
manner satisfactory to the DISTRICT, the DISTRIC'S will provide the

DEVELOPER with authorization to proceed. The DEVELOPER shall not proceed
with the construction of the PROJECT and any other water or sewer facilities for
use on the PROPERTI' until the DISTRICT so authorizes.
Section CONSTRUCT'ION OF FACILTTIES. The ;DEVELOPER agrees to construct the
PR.OJECT ar~d all other water and sewer facilities necessary for the PROPERTY in the following
manner subject to the DISTRICT's approval:
a. The DEVELOPER shall obtai.n all necessary permits from the City
of HIGHLAND and all other public or private agencies required for the
construction thereof. The PROJECT and the facilities appurtenant thereto shall be
constructed at a location determined by the I)ISTRICT, and shall be relocated by
the DISTRICT at the DEVELOPER's sole expense if such relocation is deemed
necessary by the DISTRICT in its sole discretion. The DEVELOPER hereby
grants the DISTRICT full access to the PROI?ERTY and ali other locations where
the work contemplated herein u to be performed.
b. All facilities constructed pursuant to this AGREEMENT shall be
in accordance with accepted standards an3 practices in the industry and in
compliance with ali local, state, and federal laws, rules, and regulations. The
DEVELOPER shall be responsible for providing all labor, materials, and
equipment necessary to perform the work for the PROJECT, and such work shall
be performed in a timely and workmanlike manner by a party or entity acceptable
to the DISTRICT. All such facilities shall conform to the DISTRICT's Standard
Specifications for the Furnishing of Materials and the Construction of Water and
Sewer Pipelines. All costs and liabilities in connection with the design and
construction of the PROJEC'I' shall be borne solely by the DEVELOPER.
c. The DISTRICT shall inspect and approve all work to be performed
under this AGREEMENT. However, any approvai by the DISTRICT of such
work, or of the designs, specifications, reports, and/or materials furnished

hereunder, is understood to be conceptual approval only and will not operate to
relieve the DEVELOPER or its contractors, consultants, or subcontractors of
responsibility for complying with all laws, codes, industry standards, and liability
for damages caused by negligent acts, errors, omissions, noncompliance with
industry standards, or their own willful misconduct. Further, neither the
DISTRICT's review, approval, or acceptance of any of the work or services
performed in connection with this AGREEMENT shall be construed as a waiver of
any rights hereunder or of any defense or cause of action which the DISTRICT
may have arising out of the performance of this AGREEMENT or any previous or
subsequent agreements. The DEVELOPER shall cause the facilities constructed
under this AGREEMENT to be inspected as required by any and all other public or
private agencies.
Section 3. DEVELOPER'S COSTS. In addition to all other obligations imposed upon the
DI?VELOPER under this AGREEMENT, the DEVELOPER shall be responsible for the payment
of all of the following:
a. The DEVELOPER shall pay to the DISTRIGT all, or any portion,
of the connection fees for the PROPERTY at the time of application for water and
sewer service therefor. The DISTRICT will provide water and sewer service only
• to those specific subdivision lots within the PROPERTY for which payment in full
has been made to the DISTRICT.
b. The DEVELOPER shall be solely responsible for the payment of
all costs, fees, and expenses associated with the construction, inspection, operation,
maintenance, repair, and relocation of the PROJECT, including all costs, fees, and
expenses incurred for the environmental analysis, engineering, and design of the
PROJECT.
c. The DEVELOPER shall comply with all rules, reb lations,
resoiutions, and ordinances of the DISTRICT that are currently in place or may

hereafter be adopted, and shall pay when due any and all fees, deposits, charges,
rates, fines, penalties, taxes, and/or assessments that may be levied by the
DISTRICT.
d. The DEVEL,OPER hereby consents, and waives any objection, to
the exercise of any and all collection remedies that are available to the DISTRICT
under the law upon the PROPER'I'Y and/or the person and/or property of
DEVELOPER and its shazeholdexs and partners.
Section •4. SECURITY.
a. The DEVELOPER shall provide performance, completion, and/or
payment bonds for the PROJECT in the minimum amount of not less than 100
percent of the estimated construction costs containing covenants which are
acceptable to the DISTRICT and the City of HIGHLAND.
b. The DEVELOPER shall provide a maintenance bond for the
PROJECT in the amount of 100 percent of the construction cost, which shall .
contain covenants which are satisfactory to the DISTRICT. Such bond shall
remain in force for at least twelve (12) rnonths from the date of acceptance by the
DISTRICT of the dedication of said facilities.
c. The DEVELOPER shall also procure and maintain during the
performance of this ~1GREEMENT such policies of insurance, bonds from an
acceptable surety, cash deposits, escrow accounts, letters of credit, and other forms
of security, in amounts and upon terms deemed sufficient by the DISTRICT in its
sole discretion to protect the DISTRICT from any and all exposure to loss and/or
liability.
Section 5. COSTS FOR OVERSIZING. Pursuant to Section l.c. of this AGREEMENT, the
D~ISTRICT agrees to pay to the DEVELOPER the incremental cost of oversizing any PROJECT
facilities gr~~ater than twelve inches (12") in diameter for water distribution pipelines and ten
inches (10"1 in diameter for sewage coliection pipes. The DISTRICI' shall determine the amount

of the incrernentai cost of oversizing and the method of payment in the exercise of its sole
discretion prior to its acceptance of the PROJECT facilities.
Section 6. DEDICAT'ION OF FACILIT'IES.
a. The DEVELOPER shall, upon completion of the construction of
all facilities to be installed hereunder to the satisfaction of the DISTRICI', dedicate
said facilities to the DISTRICT by a deed of dedication or such other instrument as
the DISTRICT may prescribe, and the DISTRICT agrees to~accept the dedication
[hereof by formal action of its Board of Directors. Thereafter, such dedicated
facilities shall become and be operated and maintained by the DISTRICT as part of
the DISTRICT's water and sewer system. The DISTRICT shall not accept
dedication of said water or sewer facilities until all connection fees have been paid
unless otherwise allowed under Section 3.a. herein.
b. The DEVELOPER hereby grants the DISTRICT full access to the
PROPERTY for the purpose of installing, operating, inspecting, maintaining, and
repairing all meters, valves, and other appurtenances necessary for the DISTRICT
to record, regulate, and control the amount of water pumped therefrom.
Section 7. SERVICE RESTRICTIONS. Any obligation on the part of the DISTRICT to
supply water to the PROPERTY pursuant to the terms of this AGREEMENT shall be excused in
the event that the performance thereof is interrupted for any o€ the following reasons: riots,
wars, sabotage, civil disturbances, insurrection, expiosion, court order, natural disasters such as
floods, eart}iquakes, landslides, and fires, and other labor disturbances and other catastrophic
events which are beyond the reasonabie control of the DISTRICT. Notwithstanding any other
provision to the contrary, the DISTRICT may suspend or refuse water service to the PROPERTY
if the DEVELOPER is in breach, default, or violation of this AGREEMENT or any rule,
regulation, resolution, and/or ordinance of the DISTRICT that is currently in place or may
hf;reafter be adopted, or if such service would adversely affect the health, safety, or welfare of

the DISTRIC'T's customers, or for any other reason deemed paramount by the DISTRICT in its
sole di.scretion.
Section 8. NO REPRESENTATIONS. WARRANTIES OR CLAIM OF WATER
RIGHTS. Tl~e DISTRICT makes no express or implied representations or warranties concerning
the: quality, pressure, or temperature of any water delivered pursuant to the terms of this
A(3RF,EMETdT, or the manner in which the water is provided, or its fitness for any particular
purpose, and the DISTRICT shall not be held liable for any losses incurred or damages sustained
as a direct or indirect result thereof, nor shall the DISTRICT be held liable for any losses
inc;urred or damages sustained after the water furnished hereunder is transferred to the PROJECT
fa<;ilities. Any water conveyed by the DISTRICT under this AGREEMEN`I' shall not serve as
th¢; basis oi', or otherwise support, any water rights clairn that may be asserted by the
DEVF,LOPER.
Section 9. LIABILITY FOR DAMAGES. The DISTRICT shall not be held liable or
re:>ponsible f'or any debts or claims that may arise from the operation of this AGREEMENT, or
for any damage claims for injury to persons, including the DEVELOPER and/or its officers,
directors, sttareholders, guests, invitees, trespassers, agents, contractors, consultants, and
employees, or for property damage, from any cause arising out of or in any way related to the
PROPERTY, the PROJECT, and/or the DEVELOPER's obligations hereunder.
Section 10. RELEASE. The DEVELOPER hereby expressly waives and releases the
DI:STI2ICT and its agents, officers, directors, and employees from any and all liability for the
claims, actions, andlor losses set forth in Section 9 above and for any costs and expenses
incurred in connection therewith. The DEVELOPER, notwithstanding the provisions of
California Civil Code § 1542, which provides as follows:
"A general release does not extend to claims which
the creditor did not know or suspect to exist in his or her favor at the
time of the executed release which if known by him or her must have
materially affected his or her settlement with the debtor."

ex~~ressly w~iives and relinquishes all rights and benefits afforded to the DEVELOPER
thereunder arid under any and all similar laws of any state or territory of the United States with
respect to the claims, actions, and/or losses referenced above. This AGREEMENT shall act as a
release of any claims that may arise from the aforementioned whether such claims are currently
known or ur..known. The DEVELOPER understands and acknowledges the significance and
consequence:; such specific waiver of Civil Code § 1542 and hereby assumes fuil responsibility
for any injuries, damages, losses, or liability that may result from the ciaims identified above.
This AGREE;MENT shall also act as a release of any claims, actions, and/or losses set forth in
Section 9 ahove, that may arise in the future whether such claims are currently foreseen or
unforeseen.
Section 11. HOLD HARMLESS. Excepting the sole or active negligence or willful
misconduct c>f the DISTRICT, the DEVEIAPER shall indemnify and hold the DISTRICT and
its officers, c(irectors, agents, and employees harmless from and against all ciaims and liabilities
of any kind a.rising out of, in connection with, or resulting from, any and all acts or omissions on
the: part of i:he DEVELOPER and/or its officers, directors, shareholders, partners, assignees,
guests, invitf;es, trespassers, agents, contractors, consultants, and employees in connection with
thE; PROPERTY, the PROJECT, and the performance of their obligations under this
A(JREEMENT, including design defects, even if occurring after the completion of the
PF:OJECT, and defend the DISTRICT and its officers, directors, agents, and employees from any
suits or actions at law or in equity for damages, and pay all court costs and counsel fees in
connection therewith. In addition, the DEVELOPER agrees to defend, indemnify, and hold the
DTSTRICT liarmless from and against all claims, losses, liabilities, damages, demands, actions,
judgments, causes of action, assessments, penalties, costs, expenses (including, without
limitation, the reasonable fees and disbursements of legal counsel, expert witnesses, and
accountants;, and all foreseeable and unforeseeable consequential damages which might arise or
be asserted against the DISTRICT and/or the DEVELOPER with regard to the PROPERTY
and/or the F'RO7ECT which are alleged and/or determined to be tortious, and/ar in violation of

present and future federal, state, and local laws (whether under common law, statute, rule,
regulation, or othenvise), including, but not limited to, the California Environmental Quality Act,
Public Resources Code Section 21000 et seq., and the Guidelines adopted thereunder, California
Code of Regulations Section 15000 et seq., all as the same'may be amended from time to time.
Section 12. NOTICES. Any notice, tender, or delivery to be given hereunder by either
party to the ~~ther shall be effected by personal delivery in writing or by registered or certified
mail, postage. prepaid, return receipt requested, and shall be deemed communicated as of mailing
or in the casc; of personal delivery, as of actual receipt. Mailed notices shail be addressed as set
foi•th Uelow, but each party may change its address by written notice in accordance with this
section.

Section 13. DISPUTES. Any dispute or controversy arising out of, under, or in connection
with, or in r~lation to this AGREEMENT, and any amendments thereto, or the breach thereof,
which is not resolved informally by prior mutuai agreement of the parties hereto, shall be
submitted to arbitration in accordance with the California Arbitration Act, Sections 1280 through
1294.2 of th~: Code of Civil Procedure. The cost of such arbitration shail be paid by the parties
equally; how~ever, the prevailing party in the arbitration shall be entitled to reimbursement of its
atl:orneys fees and other costs incurred in connection therewith.
Section 14. ATI'ORNEYS FEES. If a dispute arises which cannot be resolved by
arbitration, regarding the breach or enforcement of the provisions of this AGREEMENT, the
prevailing party therein shali be entitle~ to recover all attorneys fees and other costs actually

inc:urred in connection with reaching a resolution of the dispute whether or not an action, claim,
or lawsuit is filed. In any action brought, the entitlement to recover attorneys' fees and costs will
be considere<I an element of costs and not of damages.
Section 15. INUREMENT. This AGREEMENT and all provisions hereof shall be jointly
and severally binding upon, and inure to the benefit of, the parties hereto, their respective heirs,
surcessors, legal representatives, and assigns, and each of the shareholders and partners of the
DEVF,I.OPER in their individual, separate, and/or other capacities.
Section 16. ASSIGNMENT. This AGREEMENT may not be assigned to any individual or
entity without the written consent of the parties hereto.
Section 17. INTEGRATION AND AMENDMENT. This AGREEMENT constitutes the
entire understanding of the parties hereto with respect to the subject matter hereof and supersedes
any and all prior agreements, whether oral or written, between the parties in connection
thf;rewith. T'his AGREEMENT may not be amended unless in writing and signed by the parties
hereto. .
Section 18. CAPTTONS. The captions of sections and subsections of this AGREEMENT
arE; for reference only and are not to be construed in any way as a part of this AGREEMENT.
Section 19. INTERPRETATION AND ENFORCEMENT. This AGREEMENT shall not
be construed against the party preparing it, but shall be construed as if both parties jointly
prepared this AGREEMENT and any uncertainty or arnbiguity contained herein shall not be
interpreted ~igainst any one party. Failure by either party to enforce any provision of this
AGRLEMEIVT, or any waiver thereof by such party, shall not constitute a waiver of said party's
ri~;ht to enforce subsequent violations of the same or any other terms or conditions herein. This
AGREEME:VT shall be enforced and governed by and under the laws of the State of Califomia,
arid venue fr>r any action brought to interpret and/or enforce any provision of this AGREEMENT
sh.all be in a state or federal court located in the State of California that would generally have in
rem jurisdic:ion over the PROPERTY.

Section ~;0. SEVERABILITY. If any portion of this AGREEMENT is declared by a court
of competent jurisdiction to be illegal, invalid, or unenforceable, the remaining pirovisions of this
A<iREEMErT shall contiuue in full force and effect.
Section 21. TIME OF THE ESSENCE. Time is of the essence in this AGREEMENT, aud
the parties hereto agree to proceed in good faith, with due diligence, to complete all covenants
and conditioiis set forth herein ~u~d to perform such further acts as is reasonabiy necesslry to
effectuate the purpose of this AGREEMENT.
Section :?2. AUTHORITY. Each individual executing tl~is AGRE~MENT on behalf of a
pa~.~ty hereto represents and warrants that he or she is fully a~id duly authorized and empowered to
so execute or. behalf of such party, aild that this AGREEMENT is binding in the manner set forth
in Section 15 hereof.

DEVELOPMENT AGREEMENT FOR WATER AND SEWER

TF[IS AGRE7~MENT is made this day of , , by and between EAST
VE~I,LEY W,9TER DISTRICT, a pubiic agency (hereinafter "the DISTRICT"), and CALVARY
CHAPEL, S~~N BERNARDINO, (hereinafter "the DEVELOPER").
RECITALS
A. The DISTRICT is a County Water District organized and operating pursuant to
California Water Code Section 30000 et seq.
B. The DEVELOPER proposes to subdivide and develop certain real property within
tl~e boundazi~;s of the DISTRICT which is located at 30976 Greensnot Road, in the City of
Hi,ghland, County of San Bernardino, State of California, and is generally identified as Calvarv
Chapel, San Bernardino (hereinafter "the PROPERTI~. A copy of the Tentative Tract
Map/Parcel ur Site Plan for the PROPERTY is attached hereto as Exhibit "A" and is
incorporated .herein by this reference.
C. The development of the PROPERTY will consist of 6 buildin2s/dwelling units,
and the DEVELOPER desires that the DISTRICT provide domestic water and sewer service to
the PROPERTY. The DEVELOPER intends to design and constnzct the facilities necessary for .
water and se~ver service to be furnished to the PROPERTY.
D. The DISTRICT supplies domestic water and sewer service within the azea to be
served and is the public ages~cy empowered by law to provide such services to the PROPERTY.
E. The purpose of this AGREEMENT is to provide the terms and conditions under
which the DF;VELOPER will design and construct the facilities necessary for the DISTRICT to
supply water and sewer service to the PROPERTY (hereinafter "the PROJECT").
COVEIVTANTS
NOW THEREFORE, in consideration of the preceding Recitals and the mutual
Covenants ccntained herein, the parties hereto agree as follows:

Sectio~i 1. DESIGN OF FACILITIES. The DEVELOPER agrees to design the water and
sewer facilitie;s for the PROPERTY in the following manner and according to the Rules and
ReF;ulations o:f the DISTRICT:
ti. The DISTRICT agrees to provide to the DEVELOPER tentative
~Nater and sewer plans which conform to the requirements of the DISTRICT.
1~. The DEVELOPER agrees to design the water and sewer facilities
'or the PROPERTY in accordance with the DISTRICT's Standards for Design a~-~d
~rocessing of Water and Sewer Plans and the tentative plans provided by the
DISTRICT. The designs shall be submitted to the DISTRICT in a complete form
•~hich shall provide sufficient information for review and approval by the
DISTRICT in the exercise of its sole discretion.
c. The DISTRICT may request certain changes in the plans to
.~rovide for oversizing of facilities, which DEVELOPER agrees to incorporate into
~:he plans and specifications for the PROPERTY.
d. The DEVELOPER shail fiunish the DISTRICT with any and all
~:asements necessary for the construction, operation, maintenance, and repair of any
and a11 water and/or sewer facilities to be installed and/or used for the PROJECT.
All easements shall be submitted to the DISTRICT for review and approval by the
DISTRICT in the exercise of its sole discretion prior to the DISTRICT's acceptance
of any dedication of the PROJECT facilities under Section 6 of this
AGREEMENT.
e. The DEVELOPER shall submit all plans, drawings, specifications,
and contract documents, for all work to be performed pursuant to this
AGREEMENT, to the DISTRICT for review and approval, if acceptable to the
DISTRICT. The DISTRICT agrees to review all such documents in a timely
manner and, upon inclusion of all cha~iges thereto requested by the DISTRICT in a
manner satisfactory to the DISTRICT, the DISTRICT will provide the

J~EVELOPER with authorization to proceed. The DEVELOPER shall not proceed
vvith the construction of the PROJECT and any other water or sewer facilities for
use on the PROPERTY until the DISTRICT so authorizes.
Section 2. CONSTRUCTION OF FACILITIES. The DEVELOPER agrees to construct the
PROJECT and all other water and sewer facilities necessary for the PROPERTY in the following
manner subject to the DISTRICT's approval:
a. The DEVELOPER shall obtain all necessary permits from the •
County/City of and all other pubiic or private agencies required for the
construction thereof. The PROJECT and the facilities appurtenant thereto shall be
constructed at a location determined by the DISTRICT, and shall be relocated by
the DISTRICT at the DEVELOPER's sole expense if such relocation is deemed
necessary by the DISTRICT in its sole discretion. The DEVELOPER hereby
grants the DISTRICT full access to the PROPERTY and all other locations where
the work contemplated herein is to be perforxned.
b. All facilities constructed pursuant to this AGREEMENT shall be
in accordance with accepted standards and practices in the industry and in
compliance with all local, state, and federal laws, rules, and regulations. The
DEVELOPER shall be responsible for providing all labor, materials, and
equipment necessary to perform the work for the PROJECT, and such work shall
be performed in a timely and workxnanlike manner by a party or entity acceptable
to the DISTRICT. All such facilities shall conform to the DISTRICT's Standard
Specifications for the Furnishing of Materials and the Construction of Water and
Sewer Pipelines. All costs and liabilities in connection with the design and
construction of the PROJECT shall be borne solely by the DEVELOPER.
c. The DISTRICT shall inspect and approve all work to be performed
under this AGREEMENT. However, any approval by the DISTRICT of such
work, or of the designs, specifications, reports, and/or materials fiunished

liereunder, is understood to be conceptual approval only and will not operate to
r.elieve the DEVELOPER or its contractors, consultants, or subcontractors of
responsibility for complying with all laws, codes, industry standards, and liability
for damages caused by negligent acts, errors, omissions, noncompliance with
industry standards, or their own willful misconduct. Further, neither the
DISTRICT's review, approval, or acceptance of any of the worlc or services
performed in connection with this AGREEMENT shall be construed as a waiver of
any rights hereunder or of any defense or cause of action which the DISTRICT
may have arising out of the performance of this AGREEMENT or any previous or
subsequent agreements. The DEVELOPER shall cause the facilities conshucted
under this AGREEMENT to be inspected as required by any and all other public or
private agencies.
Section DEVELOPER'S COSTS. In addition to all other obligations imposed upon the
DE;VELOPEIt under this AGREEMENT, the DEVELOPER shall be responsible for the payment
of all of the fi~llowing:
a. The DEVELOPER shall pay to the DISTRICT all, or any portion,
of the connection fees for the PROPERTY at the time of application for water and
sewer service therefor. The DISTRICT will provide water and sewer service only
to those specific subdivision lots within the PROPERTY for which payment in full
has been made to the DISTRICT.
b. The DEVELOPER shail be solely responsible for the payment of
ali costs, fees, and expenses associated with the construction, inspection, operation,
maintenance, repair, and relocation of the PROJECT, including all costs, fees, and
expenses incurred for the environmental analysis, engineering, and design of the
PROJECT.
c. The DEVELOPER shail comply with all rules, regulations,
resolutions, and ordinances of the DISTRICT that are currently in place or may

hereafter be adopted, and shall pay when due any and all fees, deposits, charges,
rates, fines, penalties, taxes, and/or assessments that may be levied by the
DISTRICT.
d. The DEVELOPER hereby consents, and waives any objection, to
the exercise o£ any and all collection remedies that aze available to the DISTRICT
under the law upon the PROPERTY and/or the person and/or property of
DEVELOPER and its shareholders and partners.
Section SECURITY.
a. The DEVELOPER shall provide performance, completion, ancllor
payment bonds for the PROJECT in the minimum amount of not less than 100
percent of the estimated construction costs containing covenants, which are
acceptable to the DISTRICT and the County/or City of Hi ng land.
b. The .DEVELOPER shall provide a maintenance bond for the
PROJECT in the amount of 100 percent of the construction cost, which shail
contain covenants which are satisfactory to the DISTRICT. Such bond shall
remain in force for at least twelve (12) months from the date of acceptance by the
DISTRICT of the dedication of said facilities.
c. The DEVELOPER shall also procure and maintain during the
performance of this AGREEMENT such policies of inst~rance, bonds from an
acceptable surety, cash deposits, escrow accounts, letters of credit, and other forms
of security, in amounts and upon terms deemed sufficient by the DISTRICT in its
sole discretion to protect the DISTRICT from any and all exposure to loss and/or
liability.
Section :i. COSTS FOR OVERSIZING. Pursuant to Section l.c. of this AGREEMENT, the
DISTRICT agrees to pay to the DEVELOPER the incremental cost of oversizing any PROJECT
facilitaes gre:iter than twelve inches (12") in diameter for water distribution pipelines and ten
ins;hes (10") in diameter for sewage collection pipes. The DISTRICT shall determine the amount

of the increrriental cost of oversizing and the method of payment in the exercise of its sole
discretion prior to its acceptance of the PROJECT facilities.
Section 6. DEDICATION OF FACILITIES.
a. The DEVELOPER shali, upon completion of the construction of
all facilities to be installed hereunder to the satisfaction of the DISTRICT, dedicate
said facilities to the DISTRICT by a deed of dedication or such other insUlunent as
the DISTRICT may prescribe, and the DiSTRICT agrees to accept the dedication
thereof by formal action of its Board of Directors. Thereafter, such dedicated
facilities shall become and be operated and maintained by the DISTRICT as part of
the DISTRICT's water and sewer system. The DISTRICT sha11 not accept
dedication of said water or sewer facilities until all connection fees have been paid
unless otherwise allowed under Section 3.a. herein.
b. The DEVELOPER hereby grants the DISTRICT full access to the
PROPERTY for the purpose of installing, operating, inspecting, maintaining, and
repairing all meters, valves, and other appurtenances necessary for the DISTRICT
to record, regulate, and control the amount of water pumped therefrom.
Section '7. SERVICE RESTRICTIONS. Any obligation on the part of the DISTRICT to
supply water to the PROPERTY pursuant to the terms of this AGREEMENT shall be excused in
, the: event th<<t the performance thereof is interrupted for any of the following reasons: riots,
w~~rs, sabota~;e, civil disturbances, insurrection, explosion, court order, natural disasters such as
floods, earth~uakes, landslides, and fires, and other labor disturbances and other catastrophic
events whict~ are beyond die reasonable control of the DISTRICT. Notwithstanding any other
provision to ~he contrary, the DISTRICT may suspend or refuse water service to the PROPERTY
if the DEVI~LOPER is in breach, default, or violation of this AGREEMENT or any rule,
re;ulation, r~solution, and/or ordinance of the DISTRICT that is currently in place or may
hereafter be adopted, or if such service would adversely affect the health, safety, or welfare of

the DISTRIC'T's customers, or for any other reason deemed paramount by the DISTRICT in its
sole discretio~i.
Section 8. NO REPRESENTATIONS. WARI2t1NTIES, OR CLAIM OF WATER
RICHTS. T'he DISTRICT makes no express or implied representations or warranties concerning
the quality, ~~ressure, or temperature of any water delivered pursuant to the terms of this
ACiREEMENT, or the manner in which the water is provided, or its fitness for any particular
pmpose, and the DISTRICT shall not be held liable for any losses incurred or damages sustained
as a direct or indirect result thereof, nor shall the DISTRICT be held liable for any losses
incurred or d~unages sustained after the water furnished hereunder is transferred to the PROJECT
facilities. Atry water conveyed by the DISTRICT under this AGREEMENT shall not serve as
the basis of, or otherwise support, any water rights claim that may be asserted by the
DE'sVELOPER.
Section LIABILITY FOR DAMAGES. The DISTRICT shall not be held liable or
responsible fi~r any debts or claims that may arise from the operation of this AGREEMENT, or
for any dam~ige claims for injury to persons, including the DEVELOPER and/or its o~cers,
directors, shareholders, guests, invitees, trespassers, agents, contractors, consultants, and
em.ployees, or for property damage, from any cause arising out of or in any way related to the
PR.OPERTY, the PROJECT, and/or the DEVELOPER's obligations hereunder.
Section 10. RELEASE. The DEVELOPER hereby expressly waives and releases the
DISTRICT and its agents, officers, directors, and employees from any and all liability for the
claims, actions, and/or losses set forth in Section 9 above and for any costs and expenses
inc:urred in connection therewith. The DEVELOPER, notwithstanding the provisions of
Ca.lifornia Civil Code § 1542, which provides as follows:
"A general release does not extend to claims which
the creditor did not know or suspect to exist in his or her favor at the
time of the executed release which if known by him or her must have
materialiy affected his or her settlement with the debtor."

expressly w~:ives and relinquishes all rights and benefits afforded to the DEVELOPER
thereunder an.d under any and all similar laws of any state or territory of the United States with
respect to the claims, actions, and/or losses referenced above. This AGREEMENT shail act as a
release of an;~ claims that may arise from the aforementioned whether such claims are currently
known or unknown. The DEVELOPER understands and acknowledges the significance and
consequences such specific waiver of Civil Code § 1542 and hereby assumes fixll responsibility
for any injuri.es, damages, losses, or liability that may result from the claims identified above.
This AGREEMENT shall also act as a release of any claims, actions, and/or losses set forth in
Se~tion 9 above, that may arise in the future whether such claims are currently foreseen or
un:foreseen.
Section 11. HOLD HARMLESS. Excepting the sole or active negligence or willful
misconduct ef the DISTRICT, the DEVELOPER shall indemnify and hold the DISTRICT and
its officers, directors, agents, azid employees hannless from and against all claims and liabilities
of any kind arising out of, in connection with, or resulting from, any and all acts or omissions on
the part of fhe DEVELOPER and/or its officers, directors, shareholders, partners, assignees,
guests, invitees, trespassers, agents, contractors, consultants, and employees in connection with
the PROPEIZTY, the PROJECT, and the performance of their obligations under this
A(iREEMETfT, including design defects, even if occurring after the completion of the
PR.OJECT, a~id defend the DISTRICT and its officers, directors, agents, and employees from any
suits or actions at law or in equity for damages, and pay all court costs and counsel fees in
co~mection ttierewith. In addition, the DEVELOPER agrees to defend, indemnify, and hold the
DISTRICT harmless from and against all claims, losses, liabilities, damages, demands, actions,
jucigments, ~;auses of action, assessments, penalties, costs, expenses (including, without
limitation, the reasonable fees and disbursements of legal counsel, expert witnesses, and
acrountants), and all foreseeable and unforeseeable consequential damages which might arise or
be asserted ~igainst the DISTRICT and/or the DEVELOPER with regard to the PROPERTY
and/or the PIZOJECT which are alleged and/or determined to be tortious, and/or in violation of

pre;sent and future federal, state, and local laws (whether under common law, statute, rule,
re€;ulation, or otherwise), including, but not limited to, the California Environmental Quality Act,
Public Resources Code Section 21000 et seq., and the Guidelines adopted thereunder, California
Code of Regi ilations Section 15000 et seq., all as the same may be amended from time to time.
Section 12. NOTICES. Any notice, tender, or delivery to be given hereunder by either
party to the other shall be effected by personai delivery in writing or by registered or certified
mail, postage prepaid, return receipt requested, and shall be deemed communicated as of mailing
or in the case; of personal delivery, as of actual receipt. Mailed notices shall be addressed as set
fo~th below, but each party may change its address by written notice in accordance with this
ser,tion.

Section 13. DISPUTES. Any dispute or controversy arising out of, under, or in connection
with, or in r~:lation to this AGREEMENT, and any amendments thereto, or the breach thereof,
wliich is not resolved informally by prior mutual agreement of the parties hereto; shall be
submitted to arbitration in accordance with the California Arbitration Act, Sections 1280 through
1294.2 of the Code of Civil Procedure. The cost of such arbitration shall be paid by the parties
equally; however, the prevailing party in the arbitration shall be entitled to reimbursement of its
ail:orneys fees and other costs incurred in connection therewith.
Section 14. ATTORNEYS FEES. If a dispute arises which cannot be resolved by
arbitration, tegarding the breach or enforcement of the provisions of this AGREEMENT, the
prevailing p,~rty therein shall be entitled to recover all attorneys fees and other costs actually
incurred in connection with reaching a resolution of the dispute whether or not an action, claim,

or lawsuit is i.'iled. In any action brought, the entitlement to recover attorneys fees and costs will
be considered an element of costs and not of damages.
Section 15. INUREMENT. This AGREEMENT and ail provisions hereof shall be jointly
anci severally binding upon, and inure to the benefit of, the parties hereto, their respective heirs,
successors, le:gal representatives, and assigns, and each of the shazeholders and partners of the
DEiVELOPEIt in their individual, separate, and/or other capacities.
Section l6. ASSIGNMENT. This AGREEMENT may not be assigned to any individual or
entity withou: the written consent of the parties hereto.
Section t7. INTEGRATION AND AMENDMENT. This AGREEMENT constitutes the
eni:ire undersi.anding of the parties hereto with respect to the subject matter hereof and supersedes
any and all prior agreements, whether oral or written, between the parties in connection
therewith. Tliis AGREEMENT may not be amended unless in writing and signed by the parties
hereto.
, Section :18. CAPTIONS. The captions of sections and subsections of this AGREEMENT
aze for refere~ice only and are not to be construed in any way as a part of this AGREEMENT.
Section :19. INTERPRETATION AND ENFORCEMENT. This AGREEMENT shall not
be construed against the pariy preparing it, but shall be construed as if both parties jointly
pre:pared this AGREEMENT and any uncertainty or ambiguity contained herein shall not be
interpreted a,;ainst any one party. Failure by either pariy to enforce any provision of this
A(iREEMErfT, or any waiver thereof by such parry, shall not constitute a waiver of said party's
right to enfoxce subsequent violations of the same or any other terms or conditions herein. This
A(iREEMET(T shall be enforced and governed by and under the laws of the State of California,
and venue fo:- any action brought to interpret and/or enforce any provision of this AGREEMENT
shall be in a state or federal court located in the State of California that would generally have in
rem jurisdiction over the PROPERTY.

Section 20. SEVERABILITY. If any portion of this AGREEMENT is deciared by a court
of c;ompetent.jurisdiction to be illegal, invalid, or unenforceable, the remaining provisions of this
AGREEMENT shall continue in full force and effect.
Section 21. TIME OF THE ESSENCE. Tune is of the essence in this AGREEMENT, and
the parties hereto agree to proceed in good faith, with due diligence, to complete all covenants
an<1 conditior..s set forth herein and to perform such further acts as is reasonably necessary to
effectuate the purpose of this AGREEMENT.
Section <2. AUTHORITY. Each individual executing this AGREEMENT on behalf of a
party hereto r~presents and warrants that he or she is fully and duly authorized and empowered to
so execute on behalf of such parry, and that this AGREEMENT is binding in the manner set forth
in Section 15 hereof.

A RESOLUTION OF THE BOARD OF DIRECTORS
OF THE EAST VALLEY WATER DISTRICT
APPROVING AWARD OF SOLE SOURCE CONTRACTS
TO LAW PLUMBING COMPANY
FOR CERTAIN PUBLIC WORKS PROJECTS
WHEF:EAS, the East Valley Water District ("DistricY') is a County Water District organized and
operating pursuant to California Water Code Section 30000 et seq.;
WHEf:EAS, the District, as a County Water District, is not subject to the competitive bidding
requirements of the Califomia Public Contracts Code [Associated Builders and Contractors v. Contra Costa
Water District ~1995) 37 Cal. App. 4`~' 466, 43 Cal. Rptr. 2d 600];
WHEREAS, on April 8, 1991, the DistricYs Board of Directors ("Board") adopted Resolution No.
1991.45 which established bidding and contract procedures as part of the DistricYs Rules and Regulations so
as to provide guidance and direction to the DistricYs staff in obtaining outside services for projects initiated by
the District;
WHEItEAS, Resolution No. ]991.45 also provided that the "Contract Procedures" set forth therein
may be modifi~;d by the Board from time to time as deemed necessary;
WHEIZEAS, on February 9, 1998, the Boazd adopted Resolution No. 1998.1 which modified the
"Contract Procedures" contained in Resolution No. 1991.45 to exempt from any formal and informal bidding
requirements any project for which a"sole source contractor" has been designated;
WHEIZEAS, for purposes of the "Contract Procedures" contained in Resolution No. 1991.45, the term
- "sole source contractor" is defined in Resolution No. 1998.1 as "a contractor or consultant that has been
evaluated to provide a unique or specialized service which cannot be obtained from other contractors," which
designation miist be approved by the Board;
WHEREAS, the District occasionally requires immediate plumbing services in connection with
projects involving the operation, installation, maintenance, and repair of underground piping and other
appurtenances so as to enable public use thereof as soon as possible without undue delay associated with any
applicable forrnal or informal bidding process; and
WHEREAS, the DistricYs past experiences with Law Plumbing Company is such that it has been
available to pr,rform such plumbing and pipeline repair services for the District in a timely manner despite
shore notice aiid with high-quality workmanship that has been accepted by both the District and other local
govemmental agencies possessing regulatory oversight.
NOW, THEREFORE, BE IT RESOLVED by the Board of Directors of the East Valley Water District
that the Board hereby finds and determines that Law Plumbing Company be designated as a sole source
contractor for plumbing and pipeline repair services in connection with District projects for which the
D~stricYs General Manager concludes that entertaining fonnal and informal bids prior to the performance of
such work would cause undue delay, hardship, and inconvenience to the publia The Board reserves the right
to withdraw ttiis designation in its entirety, or to suspend this designation on a project-by-project basis, in the
exercise of its sole discretion.
BE I't FURTHER RESOLVED that, with respect to District projects for which the sole source
desienation applies in the limited manner described above, the DistricYs Board of Directors hereby authorizes
the District's General Manager to enter into contracts with Law Plumbing Company as necessary to ensure
timely plumbing and pipeline repair so as to prevent undue delay, hardship, and public inconvenience, at a
price not to exceed $900,000, without the necessity of engaging in the formal or informal bidding process
contained in tlie DistricYs "Conh•act Procedures" as set forth in Resolution Nos. 1991.45 and 1998.1.

Dear Mr. Howell:
I am pleased to write in support of East Valley Water District's (EVWD) two pre-
applications for Proposition 50 grant funding. The two high-priority projects identified
by EV~ti D are critical to ensuring the reliability of clean, safe drinking water for 68,000
people in San Bernardino County.
The ability of the District to supply a clean and reliable water supply to its customers is .
being threatened by the occunence of both surface water and groundwater quality
degradation. Wifn state financial assistance from the state EVWD will be able to
constru<:t the following projects to meet the water needs of our community.
'I'he District is requesting a 50 percent matching grant of $5.05 million for
improvements to an existing surface water treatment plant known as Plant
134. The total estimated project cost is $11.5 million.
'I'he mcdemization of the current Disriict plant 134 will update the plant to comply with
new ref;ulations, and inerease the supply of potable water to the public. The plant
currently delivers 4.0 MGD of potable water to the residents of Highland. Upon
completion of this project the plant wili produce 8.0 MGD.
The District aiso is requesting a 50 percent matching grant of $13 million for
construction of a new groundwater treatment plant known as Plant 150.
The total project cost is estimated at $26million.
The District purchased 4.6 acres of property on which it intends to construct Piant 150.
The plant will be designed to remove nitrate and perchlorate from groundwater for
purposes of providing drinking water. Plant 150 will collect, treat and distribute
groundwater from three existing plants and weil as from a future on-site well and future

off-site wells. The plant design will also incorporate the ability to supplement capacity
with potable: water supplied by San Bernardino Valley municipal Water District.

Meetir:g at the Panda Inn, in Ontario. The social hour will begin at 6:00 PM with a call

I. CALL TO ORDER
7he Membership Meeting was called to order at 6:46 PM by President Mike Martin.
II, INVOCATION & FLAG SALUTE
Kimberly Cox led the Invocation and Jay Bogh led the Flag Salute.
III. _AFCO Special Districts Selection Committee Meeting
Michael Martin introduced Kathleen Rollings-McDonald of LAFCO to conduct the
selection committee meeting. She did a roll call of all independent special districts in the
county, with 24 identifying as present and one present vote abstaining. Because 26
districts are required for a quorum, the vote for the selection committee meeting will be
conduc:ed through the mail.
IV. INTRODUCTIONS
1. Hosting Agency- Cucamonga Valley Water District
Michae', Martin turned the meeting over to Randall Reed, Vice President of Cucamonga
Valley \Nater District who gave an overview of the various programs of the District.
2. First Time Visitors
There vdere many first time visitors in the crowd. Visitors included: Charlie Johnson of
the Phe~lan Pinion Hills CSD, Pete Launsburg of the Mojave Desert RCD, Robin Scaffrey
from Bi~~ River, Steve Vindrozy, Phillip Johnson from Big Horn Water Agency, Scott
Vanhorne of Supervisor Biane's office and Floyd Clark of Cucamonga Valley Water
District.
V. PRESIDENT'S COMMENTS AND ANNOUNCEMENTS
Presidemt Martin reminded attendees of the ethics training that the Association and the
Yucaip;~ Valiey Water District are presenting on March 6`h He went on to express the
desire c~f the Association's Board of Directors to continue bringing items of value to
members.

Dinner was served at 7:15 to 62 attendees.
VII. PROGRAM
Vice President Randaii Reed introduced Scott Vanhorne, Field Representative for
Supervisor Biane to the crowd at 7:26 pm. Mr. Vanhorne discussed the Green County
Prograr in detail and also discussed the important relationship between San Bernardino
County and its special districts.
VIII. DRAWING
A totai of $135 was coilected for the scholarship fund. Three individuals won $20. A
Total of $75 was deposited into the fund.

Briefing is designed to give the busy water professional the
infortnation needed to make decisions ctffected by water
policy in 2008. Facing drought and climate uncertainties,

challenge of devedoping a strategic plan for a new

For some time, AC~X'A has experienced problems with housing at our semiannual conferences due to the fact that
some agencies and/or individuals have booked a block of hotel rooms without registering for the conference and have
then canc~led those rooms the week of the conference. This practice has become expensive for the Association and
inconvenient for our areendees. As a result, at the November 17, 2006, ACWA Board of Directors meeting, the ACWA
Boazd adopted a new conference hotel housing policy. The following policy will apply:
