Wilson. Director Morales led the flag salute. AP'P12q~VAL OF AGENDA Vice Pr~;sident Wilson stated that an item needed to be deleted from his expense report on Item # 7. ]vI/S/C (Sturgeon-LeVesque) that the August 12, 2008 agenda be approved as amended. (Minutes 8/12/2008) etb ] APPROVAL OF BOARD MEETING MINUTES FOR JULY 22, 2008 n~/S/C (Wilson-LeVesque) that the July 22, 2008 Board Meeting Minutes be approve<l as submitted. DI6iBUFtSEMENTS M/S/C (Wilson-LeVesque) that General Fund Disbursements #215630 through #215887 which were distributed during the period of July 23, 2008, through August 6, 2008, in the amount of $1,510,41535 and Payroll Fund Disbursements for the period ended July 18, 2008 and included checks and direct deposits, in the amount of $1£;9,71396, totaling $1,700,129.31 be approved. HE:A]D(IUARTERS PROJECT REVIEW AND UPDATE Thc~ Ge~ieral Manager stated that the District is waiting for approval from the City's Planning Department as well as the Building and Safety Department; that the approval should be completed by the end of September; that he will advise the Directors as to when the San 13ernardino Design Review Committee will meet. President Goodin expressed concern regarding the time it is taking for this project; he propose~~ to have a meeting every week to speed up the process; that a meeting has been schedule:d for Monday, August 18, 2008 after the Committee meets. Direc4or Morales agrees with having the meetings; he feels it would be beneficial to have bi-weekly meetings and to set up appointments with agencies involved in this project. Director LeVesque stated that he would like to see all Directors attend the Design Review Co~nmittee meetings; that he would like to see a Calendar of events from the architects involved. Vice Pre;sident Wilson stated that he agrees with Directors LeVesque and Morales; that he would like to be up to date on the project. Director Sturgeon stated that he would like to see an ad-hoc committee set up for this proje<;t; that Director Morales and LeVesque should be on said committee. (Minutes 8/12/2008) etb 2 DISCU~SION AND POSSIBLE ACTION REGARDING THE WATER & SEWER RA7'E: STUDY ANALYSIS PREPARED BY MUNIFINANCIAL The Chie;f Financial Officer introduced Bill Moses from MuniFinancial. Mr. Moses gave a detailed presentation of the Water and Sewer Rate study analysis. M/S (Sturgeon-Wilson) to adopt the water and sewer rate study analysis prepared by Muni Financial. Direcl:or LeVesque inquired as to what average was used on a commercial water and sewer accounts. Director Morales inquired if the analysis would require a new water bond issue. Thc; Gen.eral Manager stated that the analysis is to assist with the next rate hearing; that it is infomiation for the District to abide within the guidelines of Proposition 218. Director LeVesque would like to preview the basis of the analysis. Vice Pre:sident Goodin inquired if grants were of interest in the analysis; that he would like tiered rates to be considered. T~I/S/C (Sturgeon-Wilson) to amend their motion to reflect accepting the Water and Sewer rate study analysis prepared by MuniFinancial. IDII3F.C'TORS' FEES AND EXPENSES FOR JUNE AND JULY 2008 Vic:e Pre:sident Wilson stated that his participation for the Highland Parade on July 4, 2008, needed to be deleted from his expense report. P?1/S/C (LeVesque-Morales) that the Directors' fees and expenses for June and July 2008 be approved with the amendment made by Vice President Wilson. RE;VIF, W AND ACCEPT FINANCIAL STATEMENTS FOR THE PERIOD ENDED JUNL 30, 2008 1v1/S/C (Wilson-LeVesque) to accept Financial Statements for the period ended Jwie 30.. 2008. Vi~;e Pr~;sident Wilson commended the Chief Financial Officer for his efforts in preparing the Financial Statements. (Minutes 8/12/2008) etb 3 ~I6iCU~ISION AND POSSIBLE ACTION REGARDING CSDA'S 2008 BOARD OF DIkLEC'CORS ELECTION AND BALLOT n~/S/C (LeVesque-Wilson) to submit the ballot with Allan Dyer (West Valley Water District) as the District's vote. RESOLUTION 2008.17 - A RESOLUTION OF THE BOARD OF DIRECTORS OF THIE ~;,AST VALLEY WATER DISTRICT ESTABLISHING AN INVESTMENT P~LIC:1 FOR PUBLIC FUNDS The Chief Financial Officer presented a brief overview of the investment policy for public funds; that the resolution does not change the District's brokerage usage. Director Sturgeon inquired if this Resolution had any effect on which broker the District uses; that the LAIF conference is scheduled for October 22°a_23`a 2008. D~I/S/C (LeVesyue-Wilson) to approve Resolution 2008.17 DI'iCU;>SION AND POSSIBLE ACTION REGARDING BOARD AND STAFF TIBA~E.L AND REIMBURSEMENT POLICY President Goodin stated that his reason to review the policies regarding travel and reirnbur:~ements was to provide accountability to the public; that he would like all absences of I:he reneral Manager to be pre approved by the Board; that he would like the General Manager's expense reports submitted for approval; that the Directors need to advise the Di ,trict of any leaves of absence (personal or business). Director Morales inquired as to a travel policy in place for staff; that he would like to review the current travel policy; that the policy should be referred to the Budget Co~nrnittee for review. Director LeVesque stated that the General Manager's expense report should be reviewed by th.e Budget Committee periodically; that the General Manager should notify the Directors of any leaves of absence. Vi<;e Pr~;sident Wilson stated that there is a travel policy in place; that travel and expense reports ueed to be approved; that any Director can approve the reports. Le~;al counsel stated that there is no specific policy in place regarding staff travel. (Minutes 8/12/2008) etb r} Thr General Manager stated that any travel arrangements for staff have been reviewed and approved by him; that he makes an effort to advise Board members of any leave of absence or I)istrict related business trip; that he is provided an American Express Card to cover any travel or business related expenses. GEN1EAi.AL 1VIANAGER/STAFF REPORTS The General Manager reported on the District's operations to date; that during the past earl:hquake the District assessed all production and storage sites; that there was no reportaUle damage to the DistricYs service lines; that each director received an update regardin,g the status of the District. Gaiy St~~rdivan gave a brief report on the response process of the District in an emergency situation; that the Emergency Response Plan is updated quarterly. Thc; C:hief Financial Officer stated that there was a change to the delinyuent notices; that the Dist~ict has changed the print and mailing company; that the District has a new website in place. CQ~NSL'LTANT REPORTS Thf;re were no reports at this time. CGMIMITTEE REPORTS Director Morales stated that AB 2882 had been discussed in the state level; that AB 2882 regarding tiered pricing clarifies language and guidance for any legal challenges. Vic:e Prf;sident Wilson stated that he understood AB 2882 to be voluntary; that Proposition 21& is the main factor; that a correction needed to be made to the Public Outreach Committee minutes; that it should reflect "ACWA would like to know what types of collaborative efforts the District is undertaking with other agencies. OI~.AL ~COMMENTS FROM BOARD OF DIRECTORS Director Morales attended the Tiered Rate Seminar; that he found it to be very informative. Directoz LeVesque stated that he would still like to see the overall strategy and goals of the Public Outreach Committee; that he is pleased with the DistricYs new website. Vic;e Prr,sident Wilson stated that he was not impressed with the Tiered Rate Seminar; that he attended the State Drinking Water subcommittee meeting regarding pharmaceuticals. (Minutes 8/12/2008) etb 5 Director Sturgeon stated that he was happy with the District's new website; that he revi.ewed information which supports having electric meters be read by online devices; that the online meter reads could happen in the next five years. President Goodin expressed his gratitude to the District Engineer for his updates regarding the past earthquake. Of the East Valley Water District Office Complex The East valley Water District (the District) is soliciting proposals from qualified and ex}~eriericed firms interested in performing the work defined by the attached Scope of Work (SOW) included as Attachment A to the RFP. PF:O.U]ECT DESCRIPTION The District intends to build new office and storage space in the City of San Bernardino, Cal.ifornia. The project is located between 3rd Street and Sth Street at the easterly int~;rsecl:ions with Sterling Avenue. The project consists of four one story buildings ranging in size from 25,000 square feet to 6,000 square and includes approximately 200,000 square feet of both covered and uncovered parking and landscaping. See the attached site plan for the location of the facilities. A set of construction drawings and spc;cifir,~ttion is available at District Office for review. The construction schedule is anticipaCed to be 12 months. The construction cost estimate is $25 million (to be verified by thf; CM). The L)istrict retained GMID for design of the facility and now intends to retain the services of an independent construction manager to act as the resident engineer and inspector during the construction of the facility and to represent the District's interests at all time;; during the construction of the facility. PF'.~P~OS~AL REQUIREMENTS ThE; pro~~osal must cover the statement of work and all of the RFP requirements. Eac;h proposal that is submitted in response to the RFP must contain a letter of transmittal ancf contain the following information in a total of 30 pages not including resumes: l. A brief statement of the Contractors understanding of the work to be done and a c:ommitment to perform the work as scheduled. 2. brief and concise statement of the Contractors Project Approach to the work. 3. l~escribe the qualifications and company experience with projects of a similar tiature and any other contract related qualifications. Include the firm name, iiumber of employees, experience on similar projects, and a contact person's name, address and phone number. Each firm will be required to furnish at least July 31, 2008 1 of 1 East Valley Water District Construction Management Services for Construction oPthe Highland Office Complex three (3) references, by name and telephone number, that the District may contact to verify the proposing firms experience. 4. l'rovide information on the financial stability of the firm, including an audited f inancial statement issued for the most recent 3 years. 5. l~escribe the assigned personnel's experience in the construction field on similar projects. Include a description of the credentials required to perform the work. ]nclude a functiona] organization chart, describe each facet of the work that each of the people on the chart will perform and provide resumes for each of the ~>ersonnel you intend to assign to the project, either on a full time basis or part time, and on call as required. 6. ]~escribe the full time (construction manager) resident engineer position and the ciuties that individuals will be expected to perform. In addition, part time or support personnel for clerical support, construction cost estimating, project schedule development, specialty inspection, and project control support should be included. 7. :itate if your firm intends to use subcontractors or if the entire staff is in-house to the contractor. 8. :itate any limitations, exceptions, qualifications or other information the District may require in order to evaluate the bidders proposal. Any firm chosen for interview will be given suff cierit notice and an opportunity to prepare for the interview. This solicitation is intended to procure the services of an independent construction manager who will perform in the interest of and on behalf of the East Valley Water District. The successful bidder cannot have any affiliation, relationship, or interest in the actual amstruction, the construction contractor, or any subcontractor or supplier involved in the project. The Construction Manager must be prepared to disclose any previous, on€;oing or pending projects where the Construction Manager has worked with the successful construction contractor prior to the DistricYs final selection. Potential cost saving alternatives will be identified and presented to the District. 1.2 I~onstruction Estimate The <;M will do a comprehensive construction estimate based upon the final plan set as established after completion of the constructability review. The estimate will establish the expected range of construction bids the District may expect to receive. 1.~ PVIaster Project Schedule The CM will create a Master Project Schedule based upon the finalized plan set. 1.4 1'reparation of Bidders List Th~° CM will perform a market survey and provide the District with a list of prospective bidders that have the required experience to complete the contract. 1.5 1'sstablish Management Information System (MIS ) In coordination with the District, a Management Information System will be established to be used during all project communication between the CM and the District as well as extended to the contractor. Progress payment applications and final payment requests forwarded to the District Proj ect Manager as well as weekly updates and monthly reports on consiruction progress as well as overall schedule and financial performance will be included.. 1.6 I;stablish Document Control System Tn c;oordination with the District a Document Control System will be established that meets the needs of the CM during the construction phase as well as the DistricYs long tenn requirement for records storage. 1.7 (~oordinate Plan Check and Regulatory Review Prior to releasing the final plans for bid, the CM will assist the Designer in submitting the plans to the City of San Bernardino for plan check. City comments will be incorporated by thf; l:~esigner into the plan set prior to bidding in order to facilitate the contractors pulling of construction permits. July 31, 2008 7 of 7 East Valley Water District Construction Management Services for Construction of the Highland Office Complex l.f~ ~Construction Management Plan The CN1 will prepare an overall Construction Management Plan for the project which identafies to the District the means and frequency of communications, and the CM and Di:>trict participation. 2.f1 ~~ervices During Bidding 2.1 1Proposal Meeting and Job Walk The C:M wil] conduct the Pre-Bid Meeting and job walk. 2.3, 13id Evaluation and Recommendations to the Owner The CM: will advertise for bids and distribute/sell plans to potential bidders. 2.~ :>ervices During Bidding The CM: wiil receive and process questions from prospective bidders during the bid period and forward questions for the Designer. Answers will be obtained and coordinated with the designer and all bidders fumished with additional information if appropriate. The CM will prepare and distribute Addendum with design changes prepared by the Designer to the Plans if required. 2.4 Value Engineering The District intends to solicit Value Engineering proposals from the construction bidders in addition to the base bid. The CM will assist the District in evaluating alternate proposa:ls and will prepare additional estimates as may be required to validate the cost savings and/or conshuction changes suggested by the bidders and will make recommendations to the District regarding the proposals and assist in the finalization of the plans. The District may also request that the CM provide additional value engineering if, in the opinion of the District, additional consideration needs to be given to the final design. 2.5 ~Ierification of Contractor Insurance and Bonds ThE; C'M will assist the District during the bid evaluation and make recommendations to the Dist~ict on the successful bidder. The CM will issue the conformed for construction. 3.2, ]teconcile Contractor Schedule and Owner Schedule, Establish Contract ]?roject Schedule The contractors bid schedule will be reconciled, if necessary, with the Master project schedule and a project schedule established for the construction. 3.3 1'ermits Plan c;he:ck numbers will be issued to the contractor in order to pull permits. 3.4 1're-Construction Kick Off Meeting The CM will schedule and conduct the Pre-construction Kick off ineeting. The contractor anc~ a re~~resentative of each of his subcontractors is expected to attend along with the designer, District representatives, and any regulatory authority the District wishes to invite. Communication procedures, project procedures for construction submittals, notices, meeting schedules, progress payment procedures and deadlines will be established at the kick off ineeting. The contractor will be expected to provide a Schedule of values at the kick off ineeting. 3.5 <~ost Loaded Schedule Once thE; contractor has provided a Schedule of Values, the CM will review and comment if neces:;ary and establish an agreed upon Schedule with the contractor. The CM will then combine the Schedule of Values with the project schedule and provide the District with a cost loa<led schedule that provides an estimated cash flow projection for the balance of the proje:ct. The monthly percentage completion of the project will then be tracked against the schedule and an overall project financial performance report issued to the District on a monthly basis. 3.6 'Icheduling Regular Weekly Site Meetings, Monthly Meetings with the I)istrict The; CM will schedule informal weekly meetings with the contractor and appropriate subcontractors in order to discuss problems, or issues that arise on a daily basis. Attendatice at the weekly meetings by the District or designer will be optional. Monthly construction progress meetings will be scheduled with the District and the designer to trac;k ov~xall performance and to reconcile any major issues that may arise. 3.7 Correspondence The CM will manage all correspondence between the designer and the contractor includi~i,g processing construction submittals, Requests for Information, shop drawings, samples„ requests for substitution etc. Design submittals will be forwarded to the designer for approval as will any requests for substitution of any specified material. Submittals and RF:[s pettaining to site matters and site logistics will be handled by the on site CM. July 31, 2008 9 of 9 East Vailey Water District Construction Management Services for Construc[ion of the Highland Offce Complex 3.~ 1)aily Reports The CM: will prepare and keep daily construction reports detailing the construction activities of the day, including any incidents, accidents and other unusual events. 3.9 1VIonthly Reports Mcmthly, the CM will compile a record of the months construction activities, including actual p°rformance versus planned performance, construction issues, potential claims, ch~nged conditions and any other pertinent activity of interest to the District. 3.l 0 ~~ontract Administration The CM will assist the District in administration of the Contract, including processing changes, performing independent inspections and expediting submittals to the District's account;> payable department. 3.11 1Vlanaging Contract Construction Submittals, Substitutions The C"M: will receive, log and distribute construction submittals to both the Designer and the District and will collect and file approved submittals as they occur. The CM will also expedite: re-submittals on any rejected work. 3.12 I~oordination with the Designer Thf; CM will provide communication with the Designer and the District as wel] as the contractor in order to expedite submittals and other information. 3.13 PVlanaging and Processing Requests for Information, Shop Drawings, Samples ThE: CM will coordinate responses to RFIs, and will expedite both the District review and approvaf as well as the Designers review and approval. 3.14 ]nspection-Daily, Specialty, Building and Safety, District Progress ]nspections The CM will perform daily site inspections and inspection of the work for general coxiformance to the plans, acceptable workmanship, conformance with Best Management Pr~ctice,~ regarding storm water management and dust control and to ensure that the coritract~r is maintaining a clean and safe work environment. The CM will also coc:~rdinate specialty inspections deemed necessary either by the CM or the designer. Contractor furnished quality control inspections such as compaction or concrete treating will be overseen by the CM and a copy of the test reports maintained by the CM. San Bernard:ino building and safety inspections will be arranged by the contractor; the CM wil.l accompany the inspector during the site visit and determine that appropriate signatur~s have been obtained. Any non-conforming work noted by the inspector will be promptly rectified by the contractor. The CM will inspect and verify compliance prior to the request for re-inspection. The CM will also facilitate District site tours and insper,tions as required. A photographic record of construction progress will also be maintairied by the CM and made available to the District upon request. Thf: CM consultant shall require the construction contractor to perform and complete the woxk iri accordance with the contract documents. 3.15 DistricUDesigner Initiated Changes Change:; to the work initiated by the District or the Designer, will be reviewed by the CM, a cost estimate prepared indicating the magnitude of the change, a revised scope of work prepared for pricing by the contractor, and if accepted by the District a formal change to the contract prepared with accompanying drawings prepared by the Designer. 3.1~6 (;ontractor Change Orders Coiitracior requested change orders, either based upon an alleged change in site conditions or as a value engineering proposal, will be reviewed by the CM, an estimate prepareo. if possible, and recommendations made to the District regarding the validity of the claim or the advisability of accepting the Contractors requests. 3.1'7 Quality Control The; con:~truction contractor is at all times responsible for the quality control of their work and the work of their subcontractors. The CM will provide inspection as necessary and wil l periodically audit the contractors quality control program in order to ensure complia~ice with the plans and specifications. Third party inspections will be monitored ancl recorded by the CM. 3.18 Contractor Safety The: con:;truction contractor will at all times be responsible for the safety of his work and all of hi;, subcontractors. A site construction safety plan will be obtained by the CM from the contractor and the CM will monitor the contractors performance in executing his safE;ty plan. The CM will have authority to stop the work, if in the opinion of the CM unsafe conditions exist on the site or if the contractor or any of his subcontractors are found to be performing in an unsafe manner. The CM will not allow unsafe working conditions to exist on site for the contractors, subcontractors or visitors. In addition, the CN[ will have the authority to stop the work if adverse conditions aze created for the adjoining properties or traffic. July 31, 2008 11 of 11 East Valley Water District Construction Managemen[ Services for Construction of the Highland Office Complex 3.7.9 1Disputes, Potential Claim Log, Construction Claims Th~ CN: will maintain a log of all changed conditions requests, maintain a potential claims log for unresolved disputes, and will advise the District if it becomes probable that a construction claim may arise. 3.7,0 :ichedule Maintenauce The C;M wil] continuously track the contractor's actual performance against the scheduled performance and will confer as necessary with the contractor in order to expedite: remedial activity to return the project performance to an on schedule condition. The District will be advised of all schedule slippage, remedial activity required to return to ,chedule, and will advise the District of any disputes arising out of the non- conforrr~ance with the schedule. 3.21 I~ost Control The CM will monitor all facets of the project for impacts, or potential impacts to the ov<:rall c;ost of the project and will implement the DistricYs direction. 3.22 :iubstantial Completion and Punch Lists ThE; CM will advise the District when the project has reached a substantially complete status, ~~ill provide punch list requirements to the contractors, and wil] monitor the final complet:ion of the punch list items. Should the District decide to take beneficial use of part or Uie entire project prior to completion of the punch list items, the CM will schedule and expE;dite punch list completion by the contractors after the District is in residence. 4.0 l~inal Completion, Project Closeout and Occupancy by the District ' 4.1 I~inal Inspections and Tests Thc; CM shall coordinate and expedite final submittals of information from the contractor to the designer for prepazation of record drawings, and shall coordinate and expedite the final traiismittal of final records to the owner. 4.2 \'Varranty Information, Inspections During the Warranty Period The; CM shall collect, coordinate and transmit all warranty information, guarantees, operatio~is and maintenance manuals in an organized manner to the owner. n.3 ('erti~cate of Occupancy The: CM shall obtain the occupancy permit on behalf of the owner by submitting all req~xired documentation to the regulating agencies and facilitating final inspection by govenut;.ent officials as appropriate. .iuly 31, 2008 12 of 12 East Valley Water District Construction Management Services for Construction of the Highland Office Complex 4.A District Occupancy Plan The CN[ shall assist the owner in preparation of an occupancy plan and provide for scheduling of equipment and furniture to be added to the facility in a controlled manner as well .as move in of District personnel. 4.5 ~~peration and Maintenance Plan The (:N[ shall collect and compile all maintenance and equipment manuals that are applicatile to the project and the equipment furnished with the construction. District pe~sonnel training, if necessary, will be arranged and scheduled by the CM. 4.6 ][tecord Drawings The (:Ni will expedite the transfer of information from the contractor to the designer in order to complete the record drawings of the facility and firnish both hard copy and electronic versions to the District. 4. % Close Out Reports The CM: shall prepare a final project accounting document and close out reports as necessa~y and will satisfy any claims, change orders or other issues remaining with the coritractor. About L.AIF In 1977, California Government Code Section 16429 created LAIF as a voluntary investment alternative for California's local governments and special districts.
