REGULAR BOARD MEETING
MINUTES
The meeting was called to order at 3:00 p.m. by President Wilson. Mr. Reeb led the flag
salute.
PRESENT: Directors: Le Vesque, Malmberg, Morales, Sturgeon, Wilson
ABSENT: Director: None

PUBLIC COMMENTS
President Wilson declared the public participation section of the meeting open at 3.02
pm.
Mr. Sturdivan provided a brief update regarding the District's 2010 Hazard Mitigation
Plan.
There being no further verbal or written comments the public participation section was
closed.
APPROVAL OF AGENDA

The General Manager requested that the following CLOSED SESSION item be added
to the agenda as the need to add the i:em arose after the agenda had been posted.

for the County of Orange.
California Supreme Court Case No. S187414.
Directors LeVesque and Sturgeon amended their motions u, include the closed session
item to the agenda as requested by the General Manager.

APPROVE OF BOARD MEETING MINUTES FOR O( TOBER 12, 2010
M /S /C (Sturgeon - LeVesque) that the Board meernng minutes for October 12,
2010 be approved as submitted.
DISBURSEMENTS
M /S /C (Sturgeon- Le \'esque) that General Fund Di>nursements #226124 through
4226308 which were distributed during the period of Oclohcr 6. 2010 through October
18, 2010, in the amount of S980,203.25 and Payroll and benefit contributions for the
period ended October 18, 20'0 and included checks and dire^ deposits, in the amount of
$220,916.38 and $7,300.74 totaling $1,208,420.37 be appr >xed.
PRESENTATION TO HANK SOWLE FOR TWFNTY -FIVE YEARS OF
SERVICE
The Board President presented Hank Sowle Resolution 20 0 ' i for his twenty -five years
of service to the District. Information only.
DISCUSSION AND POSSIBLE ACTION REGARDING AWARD OF
CONTRACT FOR PLAN] 134 UPGRADE AND EXPANSION PROJECT
Ms You provided a detailed overview regarding the upgrade and expansion project for
Plant 134. She included the following items:
• Introduction of the Project
• Bid Evaluation Criteria
• Bid Results
• Bidders Qualifications /Evaluations
• Award Recommendation (SSC Construction. Inc.)

Director Morales asked a number of questions relating to the project and the criteria used
to evaluate the bidder's qualifications including but not limited to:
• The bidder's necessary financial resources to complete the work
• Where the bar was set to determine SSC Construction's financial resources
• Surety insurance
• Validity of the information
Mr. Buchwald stated that he had received an email from Pacific Hydrotech Corporation
regarding. the review process and that t.aey concur with the findings from CDM.
M /S /C (Levesque- Malmberg) that the construction contract for Plant 134 upgrade
and expansion project be awarded to SSC Construction, Inc.
Director Morales stated that due to the current economic situation we want to make sure
that a company doesn't go under without performing and completing this project.
DISCUSSION AND POSSIBLE ACTION REGARDING 2010 LEGISLATIVE
REPORT PRESENTED BY BOB RIEEB
Mr. Reeb provided a detailed annual report regarding the 2009/2010 legislative session to
the Board.
M /S /C ( Malmberg- Morales) that the 2010 Legislative Annual Report presented
by Bob Reeb be accepted.
DISCUSSION AND POSSIBLE ACTION REGARDING AWARD OF
CONTRACT FOR THE CONEJO DRIVE SEWER REPLACEMENT PROJECT
Mr. Buchwald reviewed the Conejo Drive Sewer Replacement Project with the Board;
that CDM has reviewed and evaluated each of the bids submitted; that CDM's
recommendation is to award the contract to Mike Plrich & Sons as they are the successful
low bidder.
A notation was made that on page four of the document is the correct bid amount and
page six has an incorrect amount listed.
M /S /C (Sturgeon - Malmberg) that the construction contract for the Conejo Drive
Sewer Replacement Project be awarded to Mike Plrich & Sons.

DISCUSSION AND POSSIBLE ACTION REGARDING THE SCHEDULED
CLOSURE OF THE DISTRICT'S OFFICES ON I ?LCEMBER 27TH' AND
JANUARY 3"
The General Manager reciev> cd the holiday schedule with the Board.
Director Sturgeon is not in 1:1v or of having the District closet on either day; that he could
find no other agency that is closed on these days and that bcil.g closed on either day looks
bad to our constituents. Director Sturgeon suggested tha- 1 ie employees be offered an
alternative holiday schedule.
No action taken.
REVIEW AND ACCEPT THE INVESTMENT REPORT FOR THE QUARTER
ENDED SEPTEMBER 30, 2010
The Board reviewed the invc,tment report for the quarter ended September 30, 2009.
M /S /C (Sturgeon- Malmberg) that the Investment R_port for the quarter ended
September 30, 2010 be accepted.
GENERAL MANAGER / STAFF REPORT
The General Manager reported on the District operations 10 date; that the bond sale and
refunding of existing bonds on Wednesday was very succes-fui. Information only.
Mr. Buchwald reviewed the xweather based irrigation caL:ulations at Plant 24 with the
Board. Information only.
Ms Hendricksen provided �n update regarding the upcomir e facilities tour on October
29 "i. Information only.
CONSULTANT REPORTS
Ms Van Dijk provided the Board an update on the commt:ein_ affairs outreach programs
that CV Strategies is workin_. on for the District. Information only.

ORAL COMMENTS FROM BOARD OF DIRECTORS
Director Morales stated that he attended the Frontier Project on October 16'h and also
attended the recent Discover Highlanc Night; that he was surprised that the District did
not participate in the event; that he is suprised that the District did not receive any
information regarding the October 13`x' History of Water in the Inland Empire lecture.
Director Morales also stated that he attended the recent LAIF conference. Information
only.
The Board took a break at 5:12 p.m.
The Board returned to session at 5:18 p.m.
CLOSED SESSION
The Board entered into Closed Session at 5:18 p.m. as provided in the California Open
Meeting Law. Government Code Sect on 54945.9(a), to discuss those items listed on the
agenda.
ANNOUNCEMENT OF CLOSED SESSION ACTIONS
The Boa -d returned to regular session at 5:44 p.m. The items listed on the agenda were
discussed in closed session with the following action being taken:
With respect to item #16 No action taken.
With res_aect to item #17 - The Board authorized General Counsel with a 4 -1 vote, with
Director Sturgeon voting no to file an Amicus Curiae letter to the Supreme Court.
ADJOURN
The meeting was adjourned at 5:10 p.m. until the next regularly scheduled Board
Meeting.

The instructors' mission is to share their experience with real world problems, and to provide
practical information about your responsibilities, what you need to know and ways to resolve issues.
KAMIL AZOURY is the General Manager /District Engineer of
the Goleta Sanitary District. As a consulting engineer and
management consultant, he has served public and private
agencies for 20 years. Kamil served as President of the
Southern California Alliance of Publicly Owned Treatment
Works (SCAP) and is presently on the Executive Board. He
is also past President and on the Executive Board of the
California Association of Sanitation Agencies. With a degree
in Civil Engineering, Kamil received his Master of Science
degree in Sanitary and Environmental Enginee Ing. Kamil is
a licensed Professional Civil Engineer.
DONNA EVANS is an attorney with Liebert Cassidy Whitmore,
and has over 20 years of litigation experience ircluding
extensive trial, arbitration and mediation experie ice. She has
managed large scale complex litigation and has extensive
law and motion and other litigation discovery experience.
Additionally, Donna has developed policies and procedures
and advised clients on critical employment law issues.
Donna is also experienced in conducting and assisting with
investigations pertaining to harassment, discrimination and
employee misconduct.
WILL MCMULLEN is a management consultant specializing
in organizational and team effectiveness, process
design /facilitation, training, and planning for private, public,
and non - profit organizations. As a consultant with 21 years
experience, he regularly works with boards, senior leadership,
management teams, functional groups, technical and other
professionals to address business, organizational and
operational issues. He also specializes in strategic planning
for special districts and water utilities. Will's professional
background includes roles as group and area -manager for
multidisciplinary teams and business operations, program
and project manager, strategic planner, and leader for
special projects and business turnarounds.
MARK MEYERHOFF is a Partner in the Los Angeles office
of Liebert Cassidy Whitmore. He represents clients in all
types of civil litigation, administrative proceedings and
arbitrations. Mark regularly advises and represents clients
in all aspects of employment and traditional labor relations

restructuring vntl in the Los Angeles Unified School District.
A political stratecls, and legislative leader in California for
over 14 years, Mi. Roos served as a member of the California
State Assemhlv, ricluding six years as Majority Floor Leader,
before being elec tea as Speaker Pro Tampere of the State
Assembly. One of INr. Roos' major legislative achievements
is the Mello Roar Facilities Act of 1982, which provided

PROGRAM INFORMATION:
EACH PARTICIPANT RECEIVES: Comprehensive Handbook,
all class materials, breakfast. breaks and lunch during
Seminar. Lodging and other meals are not included.
CERTIFICATE PROGRAM: You are automatically enrolled as
a candidate for the Certificate Program in Special District
Leadership and Management. Seminars can be taken in
any order and completed within a three -year period.
TEAM DISCOUNTS: Attendance of groups of four or more
from the same organization, enrolling in the seminar at
the same time, are entitled to a $50 discount. Not goon' with
any other discounts /including early registration discount/. Ait
four must be enrolled in the seminar. Not good on workshops only.
GUEST MEAL PACKAGE: Guest may join you for all meals.
A separate meal package for guests must be purchased.
CANCELLATIONS AND REFUNDS: Written cancellation
received on or before January 26, 2011 will receive a
refund, less a $50 processing fee. Full payment is
required if cancellation is received on or after January
27, 2011 — no refunds and no credits for a future event
will be granted. However, substitutions may be made
at any time. $25 fee charged for checks returned for
insufficient funds or for credit cards denied. SDI
reserves the right to make changes in programs and
speakers, or to cancel programs, when conditions
beyond its control prevail. Every effort will be made to
contact each enrollee if a program is cancelled. If a
program is not held, SDI's liability is limited to the
refund of the program fee only.
